Flutter Entertainment owns FanDuel (the largest US online sportsbook and iGaming brand in its portfolio), Paddy Power, Betfair, Sky Bet, PokerStars, Sisal and Snai in Italy, and, since May 2025, a 56% stake in Betnacional in Brazil. 2025 revenue was $16.4 billion (up 17%), of which the US was $6.8 billion, the UK $3.2 billion and Italy $2.5 billion. It is a scaled, licensed business, but a heavily taxed and heavily indebted one, and 2025 GAAP net income was a loss of $407 million after $561 million of non-cash impairments. HOW WE MEASURE EARNINGS. We start from operating cash flow and remove working-capital swings (largely customer deposit balances), then subtract share-based pay ($260 million in 2025) and maintenance capital spending. Flutter spends heavily on capitalized software, intangibles and equipment ($777 million in 2025, about 4.7% of revenue); we treat the portion in line with revenue growth as growth spending and the rest as upkeep. Owner earnings per share: $0.99 (2022), $0.61 (2023), $4.43 (2024), $3.12 (2025). Only four years are available on the current reporting basis. 2022 and 2023 were years of heavy US launch spending, so we anchor on 2024-2025, the middle of $3.77 per share. 2025 fell about 30% from 2024 as cash taxes rose to $445 million from $255 million, interest, share-based pay and capital spending rose, and acquisition costs were $224 million. WHAT HAS CHANGED SINCE THE LAST YEAR. Three facts in the filings and the Q2 2026 results lower earning power going forward. (1) The UK raised gaming duty on online casino from 21% to 40% from April 1, 2026 and will raise duty on online sports betting (excluding horse racing) from 15% to 25% from April 2027. Flutter states the 2026 EBITDA impact of the casino change is $320 million, against which it expects $85 million of mitigation. Because the change runs only nine months of 2026, we scale to a full-year cost of about $427 million gross, or $313 million after mitigation. (2) Debt rose to $12.3 billion at the end of 2025 from $6.7 billion after the Snai, Betnacional and Boyd FanDuel-stake purchases, and interest on debt was $171 million in Q2 2026 (about $684 million annualized) versus $576 million for 2025, roughly $108 million a year more. Company-defined leverage was 4.3 times at mid-2026, up from 3.7 times. (3) The US is weaker: in the first half of 2026 revenue grew 10% to $8.6 billion but gross profit fell to $3.55 billion from $3.67 billion, and there was an operating loss of $65 million versus a $612 million profit a year earlier. In Q2 2026 US revenue fell 6% and sportsbook revenue 15%, and Flutter cut full-year guidance, citing a planned $385 million investment in the US sportsbook. Operating cash flow nevertheless rose to $693 million in the first half from $547 million, so we do not lower the earnings anchor for these quarters, but we do not raise it either. A $95 million tax and legal provision (India GST and US sales tax) and a CEO change (Dan Taylor takes over October 1, 2026) are also disclosed. GROWTH RECONCILIATION. Owner earnings fell about 30% in 2025. Our base case starts year one at $1.39 per share, well below 2025's $3.12, and assumes no growth after that. US revenue grew 20% in 2025, but the quarter just reported shows that growth is not secured, and share gains, new states and margin recovery are not credited. Share buybacks ($1.0 billion in 2025) are also not credited. BASE CASE, about $7.20 per share. Anchor $3.77; less the UK casino duty net of the $85 million mitigation ($1.77 per share); less higher interest ($0.61) leaves $1.39 in year one. From April 2027 we also deduct the UK sports-betting duty increase, sized at no more than 10 points of the 2024 UK and Ireland sportsbook revenue of $1,691 million (an upper bound, since horse racing is exempt), or about $0.70 per share after the same proportion of mitigation, leaving $0.69. That is held flat for ten years, then fades to zero over the following ten years, because the licensed, scaled operation has produced cash for four straight years but governments have repeatedly raised taxes (Illinois in July 2024 and July 2025, the UK now), and nothing named supports permanence beyond that. BEAR CASE, about $0.10 per share. Starts from the weaker 2025 level ($3.12), takes the full unmitigated UK casino cost ($2.41) and the higher interest ($0.61), leaving about $0.10 per share, and the 2027 sports-betting duty increase (about $0.95 per share, unmitigated) would then consume the rest. Management's mitigation is a plan, not delivered, so it is excluded. Leverage of 12.3 billion dollars leaves little room. The case is essentially zero, not below it, because interest is already deducted in owner earnings. BULL CASE, about $23.10 per share. Starts from 2024, the strongest year on record ($4.43); deducts the same UK duty (net of mitigation) and interest, leaving $2.05 in year one and $1.35 after the 2027 betting duty. It is then held flat for ten years and continues at that level afterwards as the licensed FanDuel and international operations keep running. No growth is assumed. WHAT WE LEFT OUT. FanDuel growth, prediction-market or new-state launches, Brazil expansion and margin recovery are not credited. Fox holds an option to acquire 18.6% of FanDuel for $4.8 billion (rising 5% a year, exercisable until December 2030); we do not model it, but it limits the upside if FanDuel is worth more than that price. Our earnings figures do not credit the tax deductibility of the higher duties, which makes all three cases somewhat conservative. Recent quarterly figures come from the company's second-quarter 2026 statements and press release rather than the annual report, and we could not tie the sharp drop in operating profit to the rise in operating cash flow in detail. WHAT WOULD MAKE THIS WRONG. If mitigation exceeds $85 million or UK duty is offset by cost cuts, or FanDuel's US margin recovers as sports results normalize, value would be higher. If US promotional costs stay elevated or state taxes keep rising, it would be lower. The margin-of-safety price of $3.50 leaves a wide cushion given the debt, tax ratchet and the widely spread outcomes.
