Flowers Foods is the second-largest packaged bread baker in the United States. Its brands include Nature's Own, Dave's Killer Bread, Canyon Bakehouse, Wonder and Tastykake, and since February 2025 it has also owned Simple Mills, a maker of crackers, cookies and snack bars, which it bought for about $792 million in cash, funded with new debt. Most of its products reach store shelves through independent distributors who own the rights to delivery routes. Walmart/Sam's Club accounted for 21.5% of fiscal 2025 sales, and the ten largest customers for 57.7%. How we measure earning power. We start with operating cash flow. We take out swings in inventory, receivables and payables, subtract the cost of stock-based pay, and subtract the capital spending needed to keep the bakeries and trucks running. Because this company now carries a lot of debt, we then add back the interest it pays. That gives the cash the business itself produces before its lenders are paid. We value that cash, and then subtract everything the company owes. On this measure the business produced about $1.11 to $1.40 per share a year from 2016 to 2019, $1.29 in 2021 and $1.21 in 2022. It produced $1.27 a year across 2023 and 2024 combined; those two years are averaged because a $137.5 million distributor settlement charge in 2023 and its tax benefit in 2024 distort each year on its own. It produced $1.70 in 2025, a 53-week year that included Simple Mills. Pandemic stockpiling lifted 2020, so we leave it out. Our starting level is $1.28 per share, about $272 million a year, the middle of the last five years. This is also close to our own estimate for fiscal 2026, based on the first 28 weeks, of roughly $1.30 to $1.37. The fiscal 2025 write-down of $136 million on two regional bread trademarks is added back because that money was spent long ago. We treat it as evidence that traditional loaf bread is shrinking, and that decline is built into every case below. The most important fact in the record. For most of the past decade this business's cash earnings before interest held at roughly $235 to $300 million a year. The exceptions were the pandemic year, 2024 (a one-off tax benefit) and 2025 (Simple Mills' first year). We estimate about $280 to $290 million for 2026. They held there even though the company spent about $1.27 billion buying Canyon Bakehouse (2018), Papa Pita (2023) and Simple Mills (2025). Without those purchases, the business it already owned has been shrinking by roughly 2% a year, and that was through years when high inflation let it raise prices sharply. The shrinkage has recently sped up. In the second quarter of 2026 sales fell 4.0%, volume fell 5.8%, and adjusted operating earnings fell 19%. The company cut its full-year outlook, pointing to a weak fresh-bread category, competition, higher marketing, labor and freight costs, and shoppers trading down. What changed since our previous analysis. We previously valued earnings after interest and let them shrink slowly. That approach quietly assumes the debt shrinks along with the business. It does not: the $1.7 billion must be repaid or refinanced in full. We now value the business before its lenders and subtract the whole debt, which lowers our estimates from $8.80 / $12.61 / $17.40 to the figures below. Two developments also weigh on the outlook. In September 2026 S&P cut the company's credit rating to below investment grade (BB+, negative outlook), and Moody's did the same (Ba2 on its bonds). Both cited slower-than-expected debt reduction and falling bread volumes. We now also credit the $20 million of cost savings management says its 2026 restructuring will deliver in 2027, because those actions are already under way. The dividend. In late spring 2026 the board cut the quarterly dividend nearly in half, from $0.2475 to $0.125 per share, to pay down debt. The first reduced payment was made in June, and the board declared $0.125 again in August. At $0.50 a year the dividend costs about $106 million. That is roughly half of what we estimate the owners' cash earnings will be after interest in 2026, so on today's earnings the new dividend is covered about twice. The risk to it comes from the lenders. The bank agreement caps debt at 3.75 times annual cash operating earnings, with temporary relief to 4.0 times that ends after the quarter closing October 9, 2027. Moody's puts leverage at about 3.6 times today. If earnings keep falling at the second-quarter pace, the company would be close to that limit when the relief ends, and a further cut or suspension of the dividend would be one of the few levers left. Debt. The company owes $1.70 billion in bonds: $400 million at 3.5% due October 1, 2026, being refinanced with a three-year floating-rate bank loan arranged in April 2026; $500 million at 2.4% due 2031; $500 million at 5.75% due 2035; and $300 million at 6.2% due 2055. It held $53 million of cash at July 18, 2026. The 2.4% bonds are cheap money until 2031, worth about $69 million to shareholders compared with borrowing at 6%. After that and small adjustments for the other loans, we count net debt at about $1.57 billion, or $7.39 per share. Base case: about $7.07 per share. The business is worth about $14.46 per share, roughly $3.1 billion. It owes $7.39 per share, which leaves $7.07. Earnings before interest fell 2% in fiscal 2025 and are running well below last year in 2026. The base case assumes a 5% decline in the first year. That is less steep than the first half of 2026 for two named reasons: the $20 million of cost savings arrives in 2027, and our starting level already sits at the low end of 2026's reduced earnings. Declines of 4% and 3% follow, then 2.5% a year through year ten and 2% a year after that, matching the business's own decade-long record once acquisitions are excluded. We give no credit for future acquisitions, the Nature's Own relaunch, or Simple Mills winning new stores, because none of those is locked in. Bread remains a daily staple with large national brands, so we do not assume the earnings stop. Bear case: about $2.73 per share. The business is worth about $10.36 per share, roughly $2.2 billion. It owes $7.63 per share after we allow for costlier borrowing, which leaves $2.73. Volume keeps falling at around the 6% second-quarter rate, and S&P reports that core bread volume fell 9.5%, with share lost to Bimbo and Lewis Bakeries. Earnings drop 12%, 10% and 7% over three years, then 4% a year indefinitely. In this case leverage would exceed the 3.75-times limit after October 2027, forcing a costly amendment. The 2.4% bonds would also be refinanced in 2031 at junk-grade rates of around 7.5%. Even so, the business still earns roughly two to three times its interest bill, so shareholders are squeezed but not wiped out. Bull case: about $11.44 per share. The business is worth about $18.83 per share, roughly $4.0 billion. It owes $7.39 per share, which leaves $11.44. The cost savings land in full and marketing spending on Dave's Killer Bread returns to normal, as management has said it will. Earnings rise 2% in year one, hold flat in year two, and then decline only 1% a year as price and mix gains offset most of the volume loss. This case still does not credit acquisitions or new-store growth for Simple Mills. What the shares appear to be worth. About $7.07 a share, within a range of roughly $2.73 to $11.44. Because debt is about half of the business's value, small changes in how fast bread declines move the value of the shares a great deal. The margin-of-safety price is about $4.00. At that price, owner earnings after interest of roughly $1.00 a share would be a yield near 25%, and the $0.50 dividend plus steady debt repayment would add to what the base case implies even if the business keeps shrinking. The estimate would be too pessimistic if volume declines narrow to the historical 1% to 2% during 2027 while the cost savings hold. It would be too optimistic if the second-quarter volume loss of about 6% turns out to be the new normal. Not included. Reuters reported in August 2026 that the company is exploring a sale of Tastykake, about $400 million of annual sales, for around $350 million. Nothing has been agreed, so we include no effect. A sale would reduce debt, and its value to shareholders would depend on the price relative to what Tastykake earns. The company is also defending ten lawsuits from distributors claiming they should be treated as employees. Settlements of this kind have recurred for years, including $14.4 million in the first half of 2026, and their cost is already reflected in the historical earnings we use. A note on sources. The full text of the second-quarter 2026 quarterly report was not available to us. The quarter's figures come from the filed financial data and the company's earnings release. The credit rating actions and the Tastykake report come from news coverage and are used only to establish that those events occurred.

Chart analysis
A chartist would call this a stock in a persistent, mature downtrend. Shares closed at $5.74 on September 25, 2026, near the bottom of a 52-week range of $5.62 to $13.28, and are down roughly 55% over the past year. Trading at the lower edge of its yearly range after a decline of more than half is the profile of a stock still trending down. The big down legs came on news: the dividend cut in the spring, the lowered outlook in August and the move to below-investment-grade credit ratings in September. The stock has not yet formed a base, meaning a stretch of sideways trading where the price stops moving lower. A technician would look for the $5.60 area to hold on repeated tests before calling a bottom. Until then, the trend is down.
