Eton Pharmaceuticals sells eight rare-disease medicines in the United States: INCRELEX (severe primary IGF-1 deficiency, acquired from Ipsen in December 2024), ALKINDI SPRINKLE and KHINDIVI (adrenal insufficiency in children), GALZIN (Wilson disease, acquired December 2024), PKU GOLIKE (dietary management of phenylketonuria), and generic Carglumic Acid, Betaine Anhydrous and Nitisinone. Revenue was $80.0 million in 2025, up from $39.0 million in 2024 and $31.6 million in 2023, and the company reported an accounting net loss in every year from 2018 through 2025, although cash from operations turned positive in 2022. How we measured earnings. We start from cash generated by operations, remove swings in receivables, inventory and payables, and subtract stock compensation and the small amount spent on equipment. The business changed character in December 2024 when it bought INCRELEX and GALZIN, so only 2025 describes the company as it now exists. On that basis 2025 owner earnings were about $5.6 million, or $0.21 per share (2024 was slightly negative and 2023 roughly break-even). Two items are worth flagging. A $5.1 million non-cash charge for stepping up acquired inventory to fair value is added back because it never used cash. And 2025 cash flow was helped by an FDA filing-fee refund and a licensing milestone payment that are unlikely to repeat, so the 2025 figure is not a clean run-rate. Purchases of product rights, such as the $30 million INCRELEX purchase in 2024, are acquisition spending and are not deducted from owner earnings, but we also credit no future growth from more of them. What has changed in 2026. Through June 30, 2026, revenue was $61.9 million against $36.2 million a year earlier, and operating income was $15.2 million against a $1.9 million loss ($2.4 million in the first quarter and $12.8 million in the second). Owner earnings for the first half look like roughly $15 million on our measure, though a few working-capital lines were not available to us, so that figure is approximate. Only two quarters exist, the second far stronger than the first, and we could not see what drove that jump. We therefore lift the earnings level in the base case to $12 million a year, more than double 2025 but well under half the first-half pace. Base case, $3.17 per share. Owner earnings of $12 million a year for ten years, then half of that ($6 million) for five more years, discounted at 6% and divided by 32.3 million diluted shares (the count reported for the first half of 2026). We credit no growth. Growth from more volume, new products such as the pending pipeline, or further acquisitions is not locked in by contracts, and acquisitions have been funded by borrowing and share sales rather than from steady internal cash. The reason earnings are assumed to last a decade is the breadth of the portfolio and that ALKINDI SPRINKLE is protected by patents running to 2032, 2033 and 2034; the reduction after ten years reflects that those patents expire by 2034 and we can point to nothing that replaces them. Bear case, $1.12 per share. Owner earnings stay at the 2025 level of about $5.6 million for six years and then fade to zero over the next six. The risks we can name: 84.6% of 2025 revenue came from one specialty pharmacy customer (AnovoRx), and the company carries a $30 million credit facility with SWK Holdings at SOFR plus 6.75%, with $3 million quarterly principal payments beginning in May 2026 and a final maturity of December 17, 2027, against $25.9 million of cash at the end of 2025. Interest is already included in the cash flow we start from, so debt is not subtracted a second time. Bull case, $5.97 per share. The first-half 2026 improvement proves durable and owner earnings settle at $22 million a year for ten years, then $13.2 million for five more years. This is what the current run-rate supports if it holds, and it leaves out new approvals and acquisitions. What would prove this estimate wrong. If sales to the largest customer were cut or moved elsewhere, or if competitors take INCRELEX or GALZIN patients, the bear case becomes more likely. If the second quarter of 2026 turns out to be typical rather than unusually strong, our base case is too low. Separately, in January and February 2026 the company committed to further product-rights purchases, including $14 million for Hemangeol and $1 million for a rare metabolic product; these are additional cash uses and we have not credited earnings from them. Limits of this work. The most recent quarterly report was available to us only as financial data, not narrative text, so we could not read management's explanation of the second-quarter result. The share count for the earlier loss years is the basic count because the company reported a net loss.
