Esquire Financial Holdings is the parent of Esquire Bank, a branchless national bank built around the litigation industry. It lends to plaintiff law firms (litigation-related commercial loans), holds their operating and settlement-escrow deposits, and also runs a small-business payment processing platform (93,000 merchants, about 14% of 2025 revenue). At the end of 2025 it had $2.37 billion of assets, $1.76 billion of loans, and $2.06 billion of deposits. About 78% of deposits come from the litigation community, and $1.23 billion (60%) sits in escrow or claimant-trust accounts for mass tort and class action settlements. Cost of deposits was 0.99%. How we measure earnings. We use owner earnings: cash from operations, less the cash effect of working-capital swings, less stock compensation (treated as a real cost), less the part of capital spending needed to keep the business running (spending on premises and capitalized software, net of an allowance for growth). On that basis owner earnings per diluted share were $1.37 in 2018, $2.10 in 2019, $2.27 in 2020, $3.14 in 2021, $3.91 in 2022, $4.64 in 2023, $5.63 in 2024 and $6.85 in 2025. In 2025 owner earnings rose 21.8%. Note that the 2024 and 2025 figures are helped by cash flow adjustments for growth in other assets ($11.1 million and $6.5 million); we removed them as timing items, but could not tie them to a single named cause in the filing. A bank also adds back its provision for credit losses ($9.7 million in 2025); we accept that add-back, and carry credit cost in the bear case rather than lowering the earnings level. Starting level. We anchor on the median of 2023 to 2025, $5.63 per share. That window reflects the current scale and rate environment, and is deliberately below the 2025 figure of $6.85 because a single strong year should not set the level. Earlier years describe a much smaller bank. Because a growing bank must retain capital to support loan growth, we count only the part of owner earnings left after the equity needed for that growth; dividends were only $0.70 per share in 2025 against earnings of $5.87 per diluted share, and equity rose from $237 million to $290 million. Base case, about $88 per share. Growth is credited only from a mechanism the bank has run for years from its own resources: business development officers signing up plaintiff law firms nationwide, which has taken owner earnings per share from $1.37 to $6.85 in seven years, including through 2020, with no equity raise since its 2017 IPO. Trailing actual growth was 21.8%; we assume 8% for the first year, then taper by one point a year to zero by year 9, well below the demonstrated pace. After year 10 we assume earnings hold flat for a further 15 years, on the strength of a low-cost deposit franchise in a specialized niche that has already lasted well over a decade, then stop crediting value because nothing named supports it beyond that. We give no credit for the Los Angeles branch opened in 2025, expansion into new regions, or any new product. Bear case, about $37 per share. Owner earnings per share drop to $4.00 in the first year and $1.50 in the second, reflecting a credit episode and lower rates on a largely variable-rate loan book; the filing shows net charge-offs ranged from 0.03% to 1.29% of average loans over the last five years, with 2025 at 0.44% (including a $3.3 million merchant loan charge-off). They then recover only to $4.00 and stay flat, with no growth, for 15 years, then end. The dependence on litigation-industry deposits and the loans to mass tort and class action firms, which the filing describes as often having cumulative deficits and fluctuating earnings, is the main named risk. Bull case, about $126 per share. Owner earnings per share start at the 2025 level of $6.85 and grow 15%, 13%, 11%, 9%, 7%, 5%, 3%, 2% and 1% over nine years, still with most of the growth reinvested, then hold flat for 15 years. This is the litigation lending and deposit engine continuing at close to its own record pace as it tapers. Pending acquisition, not valued. In March 2026 Esquire agreed to acquire Signature Bancorporation, Inc. (Illinois) in an all-stock deal valued at about $348 million, at an exchange ratio of 2.63 Esquire shares per Signature share, adjustable between 2.50 and 2.80. It still needs regulatory and shareholder approvals. Because it has not closed and its terms and results are unproven, none of it is in any of the cases; if it completes it would add shares and integration risk. This analysis rests on the annual report for 2025, filed in March 2026; we did not review the interim report filed in August 2026. What would make this wrong: a slump in mass tort settlement activity or a change in how settlement funds are held, which would shrink the low-cost deposits funding the loans; a run of larger loan losses in litigation lending; and a drop in rates larger than the loan book can offset. The margin-of-safety price is $45, a large discount to the base case and just above the bear case, given the concentration in one industry, the credit risk in a fast-growing loan book, and the reliance on continued growth.
