Business condition attached to the margin of safety Two or more consecutive quarters in which cost of goods sold is at or below revenue (breakeven or better gross margin), confirming the recent quarter-over-quarter narrowing of production costs has actually reached sustainable unit economics rather than merely slowing losses.
Eos Energy makes zinc-based (non-lithium) battery systems for large-scale electricity storage - for utilities, microgrids, and commercial and industrial sites - manufactured at a single plant in Turtle Creek, Pennsylvania. The company came close to running out of cash in 2022-2023 while its factory was still working through production and quality problems. That changed in 2024-2025: it secured a loan guarantee from the U.S. Department of Energy, then in 2025 raised roughly $1.5 billion in total across equity, warrants, convertible notes and the DOE loan, using the proceeds to retire expensive older debt and fund the factory. Management now states it no longer has substantial doubt about the company's ability to operate over the next year - a reversal from prior years worth noting given that history, even though it is not a live concern today. Revenue grew from about $16 million in 2024 to about $114 million in 2025 as the plant ramped, and kept growing into 2026. The core question for the value of this business is unit economics: in 2025, it cost the company more than two dollars to produce a dollar of product sold. That gap has narrowed steadily and materially over the last several quarters - a real, multi-quarter trend - but it has not yet closed. Cash used in operations was actually higher in the first half of 2026 than in the first half of 2025, because heavier spending on inventory and further plant capacity is currently outrunning the per-unit cost improvement. Just over half of 2025 revenue came from a single customer, and the company's already-contracted, unbilled order book covers a modest fraction of a year's revenue, so most future growth still has to be won order by order. The capital structure is layered: the DOE loan, a separate term loan, two rounds of convertible notes, and four series of convertible preferred stock (currently carried on the books at roughly $1.4 billion) held by the company's principal lender. That preferred stock converts into roughly 116 million common shares and, by its terms, shares equally with common stock rather than ranking ahead of it - so it is treated here as additional dilution alongside the already large and growing common share count, not as debt. Three cases: Bear: unit costs stop improving at the recent pace, growth stalls without new customers to replace or supplement the concentrated customer base, and cash burn continues near its current elevated level for years - eroding the benefit of the 2025 capital raise and risking another, more dilutive round of financing before the business is self-sustaining. Value here is meaningfully negative once debt and dilution are counted - the business would owe and dilute more than the operating assets are worth. Base: production costs keep narrowing along the trend of the last several quarters, approaching breakeven by around 2029, but plant expansion and working-capital needs keep overall cash flow negative for most of the next several years. Once the DOE-funded capacity expansion (management has discussed roughly doubling the plant's disclosed potential) is built out and utilized, the business generates modest, durable cash - but with a large debt load and preferred-stock dilution already on the balance sheet, the resulting per-share value is modestly negative today. Bull: the cost curve keeps improving at its demonstrated recent pace and crosses into sustainably positive margins within about two years, the plant's disclosed capacity-expansion potential is executed on schedule using the DOE loan, and the business becomes a steady, moderate cash generator through the next decade. Even here, given how much of the company the debt and convertible preferred stock already claim, per-share value is modest rather than dramatic - roughly breakeven to slightly positive. What would have to be true for the shares to be worth meaningfully more than the base case: production costs would need to keep falling at least as fast as they have over the last year, in a way that shows up in actual quarterly results rather than guidance, and the company would need to win enough new orders to keep the expanded plant utilized without leaning further on its largest customer. Accounting judgment calls worth flagging: in years when revenue declined (2023 and 2024), all capital spending that year was treated as spending required just to stay in business, even though in substance much of it was ramp-up investment for the current production line - a conservative simplification. Separately, the convertible preferred stock is treated as future dilution to the share count rather than as debt to be repaid, because its terms explicitly rank it equal to, not ahead of, common stock. Given the wide range of outcomes and the fact that even the optimistic case shows only modest value, the margin-of-safety price sits at a steep discount to that optimistic case and assumes the cost-improvement trend is confirmed as durable rather than assumed.
