Business condition attached to the margin of safety Yearly cash burn is brought down to roughly what existing products earn in gross profit (about $6.6 million on $12.3 million of 2025 sales), or a signed commercial or licensing agreement is in place for the NXT-41 products.
Elutia develops biologic matrix products used in reconstructive surgery. In October 2025 it sold its cardiac device envelope business (EluPro and CanGaroo) to Boston Scientific for up to $88.0 million in cash, and in 2023 it sold its bone-graft business to Berkeley Biologics. What remains is a small operation: SimpliDerm, a human dermal matrix used in soft-tissue reconstruction ($9.1 million of 2025 sales), and a cardiovascular repair line of ProxiCor, VasCure and Tyke ($3.2 million). Total 2025 sales were $12.3 million, down 15% from 2024, and the company is putting its money into NXT-41 and NXT-41x, next-generation matrices that are still in development. Owner earnings, meaning the cash the business generates after stock compensation, working-capital swings and equipment spending, have been negative every year we can measure. Per share they were about -$4.43 in 2020 (a partial-year share count after the IPO), -$2.12 in 2021, -$2.00 in 2022, -$1.25 in 2023, -$1.08 in 2024 and -$0.95 in 2025. The 2025 net profit of $53.4 million came from the one-time gain on selling the cardiac business, not from operations, so we do not treat it as earning power. Operating cash use was $16.3 million in the first half of 2026, and cash fell from $36.4 million at the end of 2025 to $19.9 million at June 30, 2026. Gross profit on current products was only $6.6 million in 2025, against $15.1 million of general and administrative cost, $5.8 million of selling cost, $4.2 million of research and $8.5 million of litigation cost. What the company holds against that burn: $19.9 million of cash, $8.0 million held in escrow from the Boston Scientific sale (due for release about twelve months after the October 2025 closing, and reducible if the buyer makes valid claims), and a recorded litigation reserve of $11.2 million at year-end 2025 ($6.8 million for FiberCel and $4.4 million for viable bone matrix claims, both retained from the bone-graft business). Insurance is exhausted for FiberCel, so that part falls on the company. It also owes Ligand at least $4.4 million a year in revenue-interest payments through May 2027. Netting cash, escrow and the litigation reserve gives roughly $16.7 million, or about $0.38 per share on about 44.2 million shares, before any further losses. Bear case, $0.00 per share: the first-half 2026 burn continues, the remaining cash and escrow (about $27.9 million together) are used up in roughly ten months, and further funding would come only by issuing shares at a heavy discount. Nothing evidenced turns that spending into earnings, so the shares are worth nothing beyond what is spent. Base case, $0.00 per share: the median path is the same. Current products earn far less than the company spends, and no future earnings can be counted for NXT-41 or NXT-41x because neither has been cleared or sold. The Berkeley earn-out (10% of that buyer's sales of the sold products, up to $20 million over five years) has paid nothing so far, so it is left out. At the current burn rate, the roughly $16.7 million of net assets lasts about six months, which is why we credit no residual value. Bull case, $0.21 per share: management stops the burn now, having already sold two businesses (in 2023 and 2025), and loses one more quarter at the second-quarter 2026 pace (net loss of $7.6 million). That leaves about $9.1 million, or about $0.21 per share. We do not credit new product success or a sale price for the remaining lines because neither is evidenced. Because the shares have little value beyond cash that is being spent, the margin-of-safety price is very low, and it applies only once the burn has been brought under control. What would make this analysis wrong: a cleared, commercially successful NXT-41 product or a substantial Berkeley earn-out payment would add value we have excluded, and smaller-than-expected litigation payments or a larger escrow release would increase what is left. Notes on judgement: stock compensation was subtracted as a real cost. Litigation costs were left in owner earnings as ongoing cash costs, not stripped out as working capital. The company reports it has enough cash for at least a year after its 10-K was issued. No prior analysis existed for comparison.
