Business condition attached to the margin of safety A signed partnership or financing that funds a pivotal (Phase 3) kidney transplant trial, or Phase 2 data in a second indication showing a clear advantage over standard care.
Eledon Pharmaceuticals is a clinical-stage biotechnology company with no product on the market and no revenue. Its one drug candidate, tegoprubart, is an antibody that blocks a signal called CD40L. It is being tested to prevent organ rejection in kidney transplants, in islet cell transplants, and in ALS, and it is used in animal-to-human transplant work with eGenesis. The company spends about $60-80 million a year on operations, mostly on trials, and pays for this by selling new shares. Operating cash flow was -$62.3M in 2025, -$47.3M in 2024 and -$39.5M in 2023. HOW WE VALUE IT. We measure what a business earns for its owners after operating cash costs, stock compensation and necessary capital spending. For Eledon that figure has been negative every year: about -$0.98 per share in 2025, -$1.42 in 2024, -$1.67 in 2023, -$2.73 in 2022 and -$2.47 in 2021. The per-share loss narrowed in 2025 only because the share count roughly doubled. In dollars the loss grew, from about $69M to about $80M. We have therefore not credited any growth: there is no revenue, no signed licence or collaboration payment, and no approved product. We only count drivers that are contracted, already under way, or backed by a repeatable record, and Eledon has none of these yet. WHAT THE EVIDENCE SHOWS. In November 2025 the Phase 2 BESTOW kidney trial missed its main goal. Tegoprubart's kidney function at 12 months (about 69 vs 66 mL/min) was not statistically better than the standard drug tacrolimus. Tegoprubart also had a higher rate of biopsy-proven rejection (20.6% vs 14.1%) and a higher rate of the combined failure endpoint (22% vs 17%). The trial did show fewer cases of new-onset diabetes (2% vs 17%), tremor and severe hypertension. Management says these results, if repeated in a Phase 3 trial, would be enough for approval. That is a hope about a trial that has not been started or funded, so it carries no value in our numbers. No later trial data was in the filings we reviewed. WHAT THE SHARES ARE WORTH. With no earning power we can point to, the shares are worth what is left in the treasury. At June 30, 2026 the company held about $88.8M in cash and short-term investments against about $11.8M of current liabilities. The roughly 113.6M shares in the latest diluted count include pre-funded warrants. Cash of about $77M after current liabilities is about $0.68 a share. Operating cash outflow was about $45M in the first half of 2026, so this figure is falling. Total liabilities of $54M at June 30 also include non-current items we have not itemised (likely warrant liabilities, which are non-cash). We do not subtract debt or add cash in the usual way for this company. Cash is the only value we can name, so we count it and treat the burn as the price of an option we cannot value. BEAR CASE ($0.10): The company keeps spending at its current pace for about nine more months without securing new funding, then winds down. A pivotal trial is far larger than the cash on hand, and the 10-K says more financing will be needed. Most of the cash is spent and only a few cents a share remain. BASE CASE ($0.59): The company stops or scales back spending and returns the remaining cash, after current liabilities and roughly $10M of closing costs (trial commitments and staff). Tegoprubart is worth $0 because nothing that would pay for it has been signed. This is the value of the cash, not a forecast that the company will wind down. If the company raises money on poor terms, existing holders are diluted below this figure. BULL CASE ($0.68): The same orderly return of cash, with current liabilities the only deduction. We found no signed contract, trial funding or approval in the filings that would justify a higher value, so the bull case is capped at the cash. WHAT WOULD MAKE THIS WRONG. Tegoprubart could win a Phase 3 trial or a large partner, or the islet and ALS studies could give clear results. That could make the drug worth many times the cash. It has not happened, and it is not in the filings. The 10-K says the current cash should fund operations for at least 12 months from the March 2026 filing, so there was no going-concern warning at that date. Our second-quarter 2026 figures come from structured data, because the full second-quarter filing was not available to read. MARGIN-OF-SAFETY PRICE. The margin-of-safety price is set well below cash, because the cash is being spent. The dilution risk is real and the business has no cash-generating operations. The margin-of-safety price is about $0.35 a share, and it applies only once a signed partnership or trial funding arrangement, or convincing second-indication data, has arrived.
