Margin of safety$0.15 ComplexitySimple Updated
-$0.05 $3.15
bear -$0.05 base $0.46 bull $3.15 margin of safety $0.15 market price* $0.43
Business condition attached to the margin of safety (1) Two to three additional quarters showing revenue has stabilized or resumed growing, indicating the recent pricing-related decline tied to the company's largest customer was a one-time reset rather than an ongoing squeeze; (2) continued growth in the independent-customer base and total customer count (already positive as of the most recent quarter); and (3) an initial, concrete statement of strategic direction from the new CEO (effective July 2026).
Destiny Media Technologies runs Play MPE, a platform that lets record labels and artists securely distribute promotional-quality music, video and images to radio programmers, DJs and other media outlets ahead of release, protected by the company's own digital-watermarking patents and a two-decade-plus track record as the first-to-market, largest provider in this niche. It is a high-margin business — gross margin was 84.8% in fiscal 2025 — built on relationships with major labels and thousands of independent labels and artists. A second, much smaller product, MTR, tracks radio and digital airplay; it is still under 1% of revenue, but early data (an 89% correlation between Play MPE downloads and later airplay, and roughly 1.4% of Play MPE sales in fiscal 2025 arriving through MTR) suggests real cross-selling potential between the two products. This is also a very small company, and that matters for how we think about the risk here. Destiny Media's total equity is worth in the neighborhood of $5 million, spread across about 9.6 million shares. The stock trades on the OTCQB market in the US and the TSX Venture Exchange in Canada — both are legitimate, functioning markets, but neither offers the trading volume or scrutiny of a major exchange — and the company's own filings show only 58 registered shareholders, with about 38% of the shares held by six individuals. In practice, that means the stock is thinly traded and the company is more exposed than a larger company would be if it ever needed to raise outside capital under difficult conditions. We've built that fragility directly into the size of the discount to fair value in the margin-of-safety price, rather than treating this as a normal-sized company that happens to sell software. The single largest business risk is customer concentration, and it's no longer a hypothetical one. One customer supplied 46.9% of fiscal 2025 revenue and operates on a month-to-month basis with no long-term contract. In the most recently reported quarter (ended May 31, 2026), that dynamic played out: management attributed an 8.4% year-over-year revenue decline to a pricing change tied to this relationship. On the more encouraging side, management says the rest of the business — including its independent-label customers — has stayed stable to growing, and the company's total customer count actually grew 5% year over year. The company has also meaningfully cut back the heavier spending it had ramped up over the past few years to build MTR and modernize its platform; both capitalized software spending and stock-based compensation fell sharply in the first nine months of fiscal 2026 compared with a year earlier. A new CEO took over in July 2026; it's too soon to credit or discount that change, but leadership transitions carry more weight at a company this size, with roughly 30 full-time employees. The base case assumes the pricing reset with the large customer keeps weighing on results for another year or so, then the core Play MPE franchise returns to the low-single-digit growth it has shown, on average, over a long history (revenue has grown roughly 3-4% a year over the last eight fiscal years, including through the pandemic), while the disciplined spending seen this year continues. Because that one customer's relationship remains month-to-month with no contractual protection, we've assumed continuing, not just one-time, pricing pressure from it going forward, which holds this scenario's growth below what the company has shown in its better years. That produces a value of roughly $0.46 per share. The bear case assumes the pressure from that customer relationship worsens or repeats, compounded by a return of the independent-label softness the company saw in fiscal 2025. Because payroll is mostly fixed at this scale, a shock like that pushes owner earnings solidly negative for a multi-year stretch. Combined with how thin this company's market capitalization and trading market are — which would make any outside capital raise during a prolonged downturn considerably more dilutive to existing shareholders than it would be for a larger, more liquid company — this scenario values the shares at roughly zero to slightly negative. In plain terms: in a real downside scenario here, the shares could be worth essentially nothing. The bull case assumes the major-label growth trend continues once the current pricing reset is behind the company, and that the already-observed MTR cross-sell data develops into a genuine second revenue stream — achieved without repeating the heavy infrastructure spending already completed. That produces a value of roughly $3.15 per share. One item worth noting for continuity: a lawsuit brought against the company by its former CEO was dismissed by the Supreme Court of British Columbia in October 2025, with costs awarded to the company, removing a legal overhang that had been outstanding since 2017. Given the size of the gap between the bear and base cases here, and — just as importantly — how small and thinly traded this stock is, the margin-of-safety price carries a much larger cushion than usual, well beyond what the base-case math alone would suggest. It also assumes better evidence that the recent pricing pressure from the concentrated customer was a one-time reset rather than the start of an ongoing squeeze — specifically, two to three more quarters showing the revenue decline has stabilized, continued growth in the independent-customer base, and some initial signal of strategic direction from the new CEO.
