Business condition attached to the margin of safety The company reports (in a subsequent 10-K or 10-Q) that its internal control material weaknesses have been remediated, with no further restatement.
Driven Brands operates a portfolio of automotive-services brands across the US and Canada, most notably Take 5 Oil Change (a fast, stay-in-your-car oil change format now at over 1,300 locations), Auto Glass Now, and a group of long-established franchise brands including Meineke, MAACO, CARSTAR, and 1-800-Radiator & A/C. Revenue comes from a mix of franchise royalties and company-operated stores, concentrated in car maintenance and repair - a category of spending people tend to keep making in good years and bad. Over the last eighteen months the company has substantially changed shape. It sold its U.S. Car Wash business in April 2025 and its International Car Wash business in January 2026 - together these had made up roughly a quarter of revenue and had also been the source of a large non-cash write-down in 2023. It used the proceeds, together with ordinary cash flow, to pay down about $1 billion of debt. The result is a smaller but meaningfully more profitable and less indebted company than the one that existed two years ago; this analysis values the business Driven Brands is today, not the one it used to be. Separately, the company recently corrected errors in its previously filed financial statements (relating mainly to lease accounting, cash reconciliation, and accounts-payable reconciliation), which delayed its 2025 annual report and briefly put it out of compliance with a Nasdaq listing rule requiring timely filings; filing the corrected annual report in May 2026 addressed that requirement. The company has disclosed unresolved weaknesses in its internal financial controls that it is still working to fix, and it faces shareholder lawsuits connected to the same disclosure issues - one shareholder class action is in the process of being settled and is expected to be covered by insurance, while related lawsuits against individual officers and directors are still pending. None of this points to a business that is failing, but it does mean the numbers deserve a bigger safety margin than they otherwise would, and it is why the margin-of-safety price is conditioned on management demonstrating the control weaknesses are actually fixed. We based our estimate of normal owner earnings on 2025, the first full year that reflects the business in its current, smaller form, cross-checked against results from the first half of 2026 (which is now entirely free of the divested businesses). On that basis, the core business is generating solidly positive cash after funding the stores it is currently building. Three cases: - Bear case: store growth stalls (roughly 1% a year) as management's attention is consumed by fixing the control weaknesses and defending the litigation, and refinancing of existing debt happens on somewhat worse terms given the company's recent credibility hit. Worth roughly $10 a share after debt. - Base case: Take 5 continues adding locations at roughly its recently reported pace before gradually slowing as available real-estate opportunities are used up, while the existing franchise brands hold steady; debt stays roughly where it is today. Worth roughly $17 a share after debt. - Bull case: Take 5's expansion continues at its most recently demonstrated pace for longer, consistent with management's stated real-estate pipeline. Worth roughly $21 a share after debt. In all three cases we assumed that once the current store-opening pace runs its course, the business simply continues at that scale rather than assuming further expansion we cannot yet point to evidence for - this is a conservative assumption that likely understates the value of decades-old, repeatedly-renewed franchise brands, but we would rather understate than assume growth we can't defend. Against roughly $1.5 billion of net debt, each case can comfortably cover its interest payments, including in the bear case. Given the fresh restatement, the open litigation, and the debt load, the margin-of-safety price sits at a substantial discount to our base-case estimate and assumes confirmation that the control weaknesses are actually behind the company.

ANCHOR YEAR. CONTINUING OPERATIONS basis, first full year after shedding the car wash businesses (U.S. Car Wash sold Apr-2025; International Car Wash/ICW sold Jan-2026, so FY2025 total reported cash flow still includes several months of those businesses' cash flow even though net income already excludes them as discontinued operations). NI from continuing ops, attributable to common=$132.1M; D&A (continuing ops, as tagged)=$81.9M; capex: FY2025 total reported capex ($222.8M) still includes discontinued-ops spend for part of the year, so continuing-ops-only capex is estimated from the first fully clean, post-both-divestitures period (H1 FY2026 10-Q, $80.9M for 6 months, annualized to $161.8M); capex_ratio=$80.9M/$991.9M(H1 FY2026 revenue annualized... ratio computed directly)=8.16%; revenue (continuing) $1,862.4M vs $1,752.5M prior=+$110.0M; growth capex=8.16%x110.0M=$9.0M; maintenance capex=$161.8M-$9.0M=$152.9M; OE=132.1+81.9-152.9=$61.0M; diluted shares=163.852M; OE/sh=$0.372. Cross-checked against H1 FY2026 annualized continuing-ops run rate (NI ~$122M, D&A ~$87M annualized) - reasonably consistent, no red flag. Direct CFO-route reconciliation (CFO-WC-SBC-maint capex) could not be cleanly tied out because reported CFO is not split between continuing and discontinued operations in the filing; the NI+D&A-maintenance capex route was used instead, built from cleanly-disclosed continuing-operations figures. Post-restatement, CONTINUING OPERATIONS basis (excludes divested U.S. Car Wash [sold Apr-2025] and International Car Wash/ICW [sold Jan-2026], per restatement/recast in the FY2025 10-K). NI from continuing ops, attributable to common=$0.5M; D&A (continuing ops, as tagged in restated filing)=$79.0M; capex: no clean continuing-ops-only figure disclosed for FY2024, so estimated using the capex/revenue ratio directly observed in the first clean continuing-ops-only period (H1 FY2026, post both divestitures)=8.16% of revenue; revenue (continuing) $1,752.5M vs $1,710.0M prior=+$42.4M; growth capex=8.16%x42.4M=$3.5M; capex_t(est)=8.16%x1,752.5M=$143.0M; maintenance capex=$143.0M-$3.5M=$139.5M; OE=0.5+79.0-139.5=$(60.0)M; diluted shares=161.210M; OE/sh=$(0.372). Capex figure is an estimate (flagged); NI and D&A are as directly reported. Excluded from anchor (transition year, capex still elevated funding growth in the businesses since divested was still occurring in part of the year).
