Business condition attached to the margin of safety Revenue stops shrinking: at least two consecutive quarters of flat-or-higher year-over-year revenue, with net dollar retention for customers above $17,500 of annual spend back at or above 90%.
Definitive Healthcare sells subscriptions to a healthcare commercial-intelligence database: detailed data on U.S. hospitals, physician groups, clinicians, affiliations, and medical-claims activity that life sciences companies, health systems, medical-device makers, and staffing and technology vendors use to find, size and sell to their customers. About 96% of revenue is subscription. The company went public in September 2021 and is organized as an "Up-C": the listed company owns about 73% of the operating partnership and pre-IPO holders own the rest through exchangeable units. Because the partnership's cash flow belongs to both groups, we value everything per fully exchanged unit, about 145 million in total (roughly 106.7 million Class A shares plus about 38 million exchangeable units). The business is shrinking. Revenue peaked at $252.2 million in 2024, fell to $241.5 million in 2025, and was down 7.4% in the first half of 2026 ($111.1 million versus $119.9 million). Customers fell from about 2,500 to 2,330 during 2025, enterprise customers from 519 to 511, and net dollar retention for customers above $17,500 of annual spend slid from 92% (2023) to 85% (2024) to 82% (2025). The company has written off about $1.37 billion of goodwill since 2023 ($287 million in 2023, $689 million in 2024, $196 million in 2025 and another $197 million in the first quarter of 2026), which tells us the acquisitions made since 2021 (including Monocl, Carevoyance and Populi) have not earned their cost. Management also discloses rising pressure on the cost of medical-claims data after supplier disruptions in 2024. How we measure earnings: we start from operating cash flow, strip out working-capital swings, and charge stock compensation as a real cost. We also count capitalized sales commissions as an ongoing cost of doing business rather than a timing item. Capital spending (which now includes purchased data assets) is counted in full because revenue is falling. On that basis the cash the business produces before paying its lenders was $7.3 million in 2022, $16.6 million in 2023, $35.2 million in 2024 and $14.8 million in 2025. We use the median of the post-IPO years 2022-2025, about $15 million a year (about $0.10 per unit), as the starting level. The pre-IPO years are left out because stock compensation was a small fraction of today's level, so they describe a different cost structure. The roughly $50 million a year of amortization on acquired customer lists and data is added back, as it should be, but that erosion is real. We carry it in a declining earnings path instead of treating today's level as permanent. Nearly all reported GAAP losses come from the goodwill write-offs and that amortization, not from cash burn. Near-term path: cash earnings before interest fell about 58% in 2025. Our base case nonetheless starts year one at about $15 million, roughly flat with the median, rather than extending that decline. The reason is in the first-half 2026 results: stock compensation fell to $10.5 million from $14.3 million and capital spending to $6.1 million from $10.0 million. That lifted first-half cash earnings before interest to about $14.6 million from about $8.8 million a year earlier, even as revenue fell. The 2025 drop was mainly heavier data spending and working-capital timing, not a collapse in the core. Debt: at June 30, 2026 the company owed about $162 million on a term loan maturing January 16, 2030, costing roughly 6%, so we make no cost-of-debt adjustment. It held $183.6 million of cash and short-term investments, of which we treat about $25 million as needed to run the business. It also owes an estimated $27.2 million under its tax receivable agreement with pre-IPO owners and $3.0 million of contingent acquisition consideration. Net of usable cash, obligations total about $33.5 million, or about $0.23 per unit. Cash on hand exceeds the loan, so refinancing is not the risk. The risk is that shrinking earnings leave little left over after those obligations. Bear case (about $0.00 per unit): revenue keeps falling at the first-half 2026 pace of about 7% a year while retention stays in the low 80s, and higher claims-data costs squeeze margins. With a largely fixed data and engineering cost base, cash earnings before interest fall about 20% a year from about $10 million and reach zero by year eight. Nothing we can evidence restores them after that. The business is worth about $33 million against about $33.5 million of net obligations. In this case shareholders are left with roughly nothing, because the company owes slightly more than the business is worth. Base case (about $0.49 per unit): cash earnings before interest start at about $15 million and decline about 6% a year, consistent with falling revenue and customer counts partly offset by the cost cuts already made in the 2024 restructuring and lower stock compensation. That leaves about $8.6 million by year ten, fading to zero over the following ten years as the acquired customer base keeps eroding. The business is worth about $105 million; less $33.5 million of net obligations leaves about $71 million. Bull case (about $1.11 per unit): the lower first-half 2026 cost run-rate holds (stock compensation near $21 million a year and capital spending back near 2024 levels). Retention steadies around its 2024 level, so cash earnings before interest start near $21 million and decline only about 2% a year, then fade to zero over years eleven through twenty-five. The business is worth about $194 million; less $33.5 million of net obligations leaves about $160 million. We credit no revenue growth in any case. Management points to improving demand signals late in 2025, but first-half 2026 revenue still fell, so that recovery is a hope, not something already secured. Buybacks ($22 million in 2024 and $49 million in 2025) are not counted as a source of value. What would make this wrong: on the upside, if net dollar retention recovers above 90% and revenue stops falling, the present cost base would produce well over $20 million a year, and value would approach or exceed the bull case. On the downside, a large new acquisition financed from the cash balance would repeat the pattern of the past write-offs, and a sharp increase in claims-data costs would push results toward the bear case. The tax receivable obligation is an estimate that the company has remeasured sharply lower in recent years ($77 million lower in 2024 alone). The final amount depends on future taxable income, which we could not pin down from the filings.

Chart analysis
Limited price history is available to us, so this is a qualitative read rather than a price-level study. The Class A shares began trading on the Nasdaq Global Select Market on September 15, 2021. The company's own filings show the market value of shares held by non-affiliates falling from about $866 million in its first annual report after the IPO to about $526 million (June 30, 2023) and about $154 million (June 30, 2025), even as the share count rose. A chartist would describe that as a persistent, multi-year downtrend since the IPO with a pattern of lower highs and lower lows and no completed base or confirmed reversal. Share repurchases in 2024 and 2025 had not changed that pattern. Until the stock builds a sideways base and breaks above its longer-term moving averages, a technician would treat the trend as still down.
