Donegal Group is a Pennsylvania property-casualty insurer writing commercial and personal lines through about 2,000 independent agencies across 21 states. Its ten-year record is uneven: Class A diluted earnings averaged roughly $0.84 a share from 2016 through 2025, with losses in 2018 and 2022 and near-zero results in 2017 and 2023, and return on equity averaged only about 5%. The swing factor is underwriting, where the combined ratio ranged from 95.4% to 110.1% on weather losses, large fires and reserve development, volatility that is structural to this industry rather than tied to any single economic event. The last two years are much better, 98.6% in 2024 and 95.4% in 2025 after repricing and exiting unprofitable lines, while investment income has compounded near 10% a year to $52.6 million as the $1.5 billion bond portfolio reinvests at higher yields. Premiums are now shrinking slightly as management trades volume for margin. The bear case assumes reversion to the ten-year average combined ratio near 101%, about $1.08 of earnings power growing 0.5% a year, discounted at 11.5%. The base case holds 97.5%, roughly $1.84 normalized and 3% growth at 10%. The bull sustains 95.5% with 5% growth at 8.75%. Each stream is reduced for the capital that must be retained as surplus to fund growth. Debt is negligible at $35 million against $640 million of equity. Two structural drags weigh on the shares: the affiliated mutual insurer holds roughly 70% of the voting power and controls the pooling arrangement that sets the company's share of underwriting results, so public holders cannot change those terms and no outside acquirer can take over the company; and the share count has grown about 4% a year, diluting per-share progress. The margin-of-safety price anchors on the base case at a discount near 55%, reflecting only moderate confidence that the recent underwriting improvement survives a heavy weather year.
