Data I/O (Redmond, Washington) builds automated systems, including its PSV and LumenX/LumenX2 platforms, that load software and security keys onto memory chips and microcontrollers on electronics production lines, and sells the consumable adapters and services that go with them. About 94% of sales are outside the United States, Asia is the strongest region, and automotive electronics is the key end market. What the business has actually earned. After working-capital swings, equipment spending and the real cost of stock paid to employees, the business generated positive cash for owners in only four of the last ten years (2016-2018 and 2023). The best year was 2017 at $0.59 per share on $34 million of revenue; the worst was 2025 at a loss of $0.51 per share (about $4.8 million), after a $0.30 loss in 2024. Even 2023, on $28 million of revenue, produced only $0.04 per share. The ten-year median is a loss of about $0.06 per share. We use all ten years because the business runs in cycles of roughly three to four years (peaks 2017 and 2023, troughs 2020 and 2025) and a shorter window would catch only one side of the cycle. Fiscal 2025 deepened the loss versus 2024; our base case assumes the burn narrows to about $2.6 million a year, and the dated reason is the 2026 restructuring: second-quarter 2026 operating expenses excluding $0.5 million of one-time items were about $3.1 million, versus roughly $3.9 million a quarter in 2025, and the company reports its cost of goods plus operating expenses is now below a $22 million annual run-rate. We give no credit for revenue growth. Recent results. First-half 2026 revenue was $8.4 million, down 31% from a year earlier (Q1 $3.3 million, Q2 $5.1 million). Second-quarter gross margin was 57% (about 49% in the first quarter and in all of 2025) and the operating loss was $0.72 million. Bookings were $18.6 million in 2025 and about $9 million in the first half of 2026, an annual pace of about $18 million; backlog was $2.1 million at June 30. Management has said 2026 will be a year of organic growth, but first-half revenue would require a second half of more than $13 million to get there; we do not rely on that target. Balance sheet. In June 2026 the company raised about $9 million: 869,840 shares at roughly $2.50, plus $6.8 million of 4% convertible debentures that have since converted into non-voting Series B preferred stock (convertible at $2.50 per share) and warrants for 1.08 million shares at $3.00. The preferred ranks ahead of common shareholders, so we treat its $6.8 million as a claim to be paid before the common. Cash was $10.8 million at June 30, 2026 (there is no other debt), against about 10.4 million shares. At the end of 2025 about $5.2 million of the $7.9 million cash was held by the China and Germany subsidiaries, where moving money home carries restrictions and costs. Roughly $7.8 million of other net assets (receivables, inventory and equipment, less payables and accruals) support the operations. Bear case: a $(0.28) per share result. Revenue falls another 20% from today's roughly $18 million run-rate, to about $15 million, the same size of drop (about 30%) the company went through in 2018-2020, gross margin slips to 52%, and the business burns about $4.5 million a year. Cash lasts about two years, after which the operations are wound down, recovering only half of the operating net assets less wind-down costs (about $1.5 million). The business is worth about $(6.9) million (two years of burn net of that recovery), the company holds $10.8 million of cash and owes $6.8 million to the preferred holders, so common shareholders end up about $2.9 million short, meaning the company appears to owe more than it is worth in this case and common holders would receive nothing. Base case: $(0.10) per share. Revenue about $18.5 million in 2026-27 (matching the bookings pace), 55% gross margin and $13.0 million of operating expenses give a burn of about $2.6 million a year for two years. After that revenue returns to about $22 million, a level the company has exceeded in nine of the last ten years and never fallen below $20.3 million, and the business loses roughly $0.6 million a year, in line with the ten-year median. Nothing after year ten is credited except recovery of about 70% of the operating net assets. The business is worth about $(5.0) million, cash adds $10.8 million and the preferred takes $6.8 million, leaving about $(1.0) million, effectively nothing for common shareholders. Left out: the Edge AI and data-provisioning initiatives, the security-software push, any acquisition (none is signed) and gross margin above 55%, because none has a contract or multi-year record behind it. Bull case: $1.34 per share. Revenue recovers to about $26 million (between 2021's $25.8 million and 2023's $28.1 million, both reached after earlier troughs) at a 57% gross margin on the new $13.0 million cost base, which yields about $2.1 million of annual cash from year three. The business is worth about $9.9 million, plus $10.8 million of cash less the $6.8 million preferred claim, or about $13.9 million. The per-share value stays below the $2.50 conversion and $3.00 warrant prices, so no extra shares are added. What would make this wrong: a faster revenue recovery than the company has shown, or deeper cost savings than the single clean quarter so far suggests (lifting the case toward the bull); or revenue stuck near $15 million with the cash spent on acquisitions that do not pay back (the bear). The earlier analysis (August 2026) assumed cost cuts would lead to positive cash generation within three years and the announced acquisitions would lift revenue above $35 million; neither is contracted or evidenced yet, the first-half revenue decline and the senior preferred stock are real changes in the business, and the earlier figures are not directly comparable. Offsetting that, the cost base is lower and gross margin is higher than at the start of the year. Margin-of-safety price: $0.10. We are fairly unsure of the earnings level: ten years of results swing from +$4.9 million to -$4.8 million, and the one clean low-cost quarter is not yet a trend. The worst plausible outcome is the cash running out in about two years of losses on ~$15 million of revenue, with the $6.8 million preferred ahead of common holders; the business has no dividend, so nothing is paid during the holding period. If we are wrong about revenue stabilizing near $18 million, or about the cost savings holding, the shares are worth nothing. If we are wrong the other way, about $1.30. Winding the company down today would leave roughly $0.20 per share after paying the preferred and closing costs, but each year of burn removes more than that, so the margin-of-safety price is set at about half of that figure, a price from which a bull-type result over an assumed three-to-four-year holding period implies well over 20% a year and a bear result implies a small loss.

Sales geography
International sales are about 94% of revenue. Asia is the strongest region (China, South Korea), then Europe (Germany), then North America (United States, Mexico). Customers are mostly automotive and industrial electronics manufacturers.
Historical growth strategy
Mostly organic: continual development of automated programming platforms (PSV, FlashCORE, LumenX/LumenX2) and security provisioning software, sold through direct subsidiaries in Germany and China and distributors in 39 countries, with growth tied to automotive electronics content. The company has not been a serial acquirer; a new management team installed over 2024-2026 has said it is evaluating acquisitions and adjacent markets such as data provisioning and Edge AI, none of which had been completed at the last filing.
Chart analysis
A chartist would see a micro-cap that ran up into the 2017-2018 automotive-electronics boom and has since spent years drifting lower and sideways in a low-single-digit range with brief spikes that failed to hold. Lower highs across the 2018, 2021 and 2023 rallies point to a persistent downtrend. The roughly $2.50 per share at which the June 2026 private placement was priced and the $3.00 warrant strike mark nearby reference levels (support and resistance respectively); the year-end 2025 close was $3.17. Moves can gap on news such as earnings or financings, and the dilution overhang from the new preferred and warrants would be viewed as a headwind until price reclaims the upper end of its multi-year range.
