CoreCivic operates correctional, detention and residential reentry facilities under contracts with federal agencies (mainly Immigration and Customs Enforcement, the U.S. Marshals Service, and the Bureau of Prisons) and with individual states, plus a smaller real-estate leasing business. In 2025, federal agencies made up 54% of revenue (ICE 35%/$770.7 million, USMS 18%/$390.6 million, BOP 1%), and Tennessee was the only state customer over 10% (9%). This business is unusually sensitive to federal enforcement policy, and that sensitivity shows up directly in the numbers. In January 2021, an executive order curtailed the Department of Justice's use of private detention facilities, and CoreCivic lost most of its BOP business; earnings fell through 2021-2022. In January 2025, a new executive order reversed that restriction and directed increased interior immigration enforcement; ICE populations at CoreCivic facilities rose sharply during 2025, and the company reactivated five previously idle facilities, including its Dilley and California City immigration processing centers. Most facility contracts can also be terminated by the government agency at any time without cause, so this is a real, ongoing risk rather than a one-time event -- the same kind of policy shift that hurt the business in 2021 could recur. We measure the cash the business actually generates for owners: operating cash flow, less the swings in receivables and payables, less stock-based compensation, less the capital spending needed just to keep existing facilities running (separate from spending to add new capacity). On that basis, per-share owner earnings have ranged from $0.96 in the 2022 trough to $1.92 in 2025, with a median of $1.19 over 2021-2025 -- the period since the company converted from a REIT to a regular corporation and ended its dividend. We used that $1.19 median, not the recent peak, as the starting point for our valuation, because a chunk of 2025's jump reflects one-time facility reactivation rather than a durable new run rate. Management itself has said capital spending on facility reactivation will drop from $75 million in 2025 to roughly $35-40 million in 2026, and we treated that $75 million as growth spending rather than maintenance spending in our 2025 calculation. We modeled three cases: Base case: The current elevated level of federal detention demand persists near-term as the five reactivated facilities contribute a full year (versus a partial year in 2025) and capital spending normalizes lower, growing owner earnings from roughly $1.35/share in year one to about $2.12/share by year ten, with continued share buybacks (CoreCivic has repurchased 25.7 million shares, about a fifth of the company, since 2022, with $300.5 million of authorization still available). Beyond year ten, we assumed a fade to a lower, more conservative sustained level of about $1.60/share rather than assuming today's ICE-driven demand is permanent, since it depends on discretionary federal enforcement policy. This produces an intrinsic value of about $28 per share, of which roughly half comes from the value placed on cash flows after year ten. Bull case: Continued high ICE utilization, further idle-facility activations (the company says it is in discussions with ICE about additional ones), and a lower ongoing capital spending level lift owner earnings to nearly $2.93/share by year ten, with a terminal level around $2.30/share. That produces a value of about $39 per share. Bear case: A future administration reinstates restrictions on federal use of private detention and correctional facilities -- the same type of action taken in 2021 -- causing contract non-renewals, renewed facility idling, and asset impairments (CoreCivic took a $60.6 million impairment in 2020 and an $11.4 million impairment in 2021 in a similar environment). CoreCivic also carries real financial leverage from its REIT-era debt, including $500 million of 8.25% notes due 2029 and $238.5 million of 4.75% notes due 2027; a downturn in cash flow around the 2027 refinancing would add stress. Owner earnings fall toward $0.55-0.60/share in the early years of this scenario before stabilizing modestly, producing a value of about $11 per share. Weighing the downside against the base case, a meaningfully larger discount than for a typical stable business is appropriate, given how directly this company's results depend on the political and regulatory treatment of private detention contracting. That points to a margin-of-safety price of roughly $16.50 per share -- a discount of a little over 40% to our base-case estimate -- set so that the cases still support the target return even if federal detention policy turns against the company again.
