Charlotte's Web sells hemp-derived CBD wellness products (tinctures, gummies and topicals) under the Charlotte's Web brand, made at its facility in Louisville, Colorado from hemp grown under contract in Arizona, Colorado, Kentucky, New Mexico and Canada. It does not sell marijuana. The shares trade on the Toronto Stock Exchange (CWEB) and over the counter (CWBHF). What the record shows. Revenue fell from $96.1M in 2021 to $74.1M, $63.2M and $49.7M over the next three years, then held at $49.9M in 2025. Every year from 2021 to 2025 the business used cash in operations: $29.6M, $5.3M, $15.4M, $21.3M and $14.1M. After removing working-capital swings, stock compensation and maintenance capital spending, our owner earnings per share were negative in each of those years, from -$0.22 in 2021 to -$0.08 in 2025. Owner earnings for 2025 were about -$12.0M, against about -$17.6M in 2024, an improvement of roughly 31%. The 2023 and 2024 cash figures include media and licence rights payments of $8.0M and $5.0M (the 2024 payment was under a promotional agreement that was then terminated), so 2025 is the cleanest full year. What changed in 2026. In March 2026 the company agreed a transaction with its strategic investor, BAT, to convert its C$75.3M convertible debenture and accrued interest into common shares at C$0.94, and to invest a further $10M in new shares. Its June 2026 quarterly filing shows the debenture gone from the balance sheet, cash of $14.0M, and about 271 million shares outstanding (up from about 160 million in March). We therefore value per share on 271 million shares, and the debt no longer weighs on any case. The trade-off is 70% more shares to share whatever the business earns. First-half 2026 operating cash use was $3.7M versus $6.8M a year earlier, so spending cuts are working, but first-half revenue fell to $22.0M from $25.1M (down about 12%). How we set the cases. Owner earnings improved by about 31% in 2025 (from about -$17.6M to about -$12.0M). Our base case assumes a further improvement in year one, to a burn of about $8M, or about 33%. That is a similar pace, and the specific support is the filing for the June 2026 quarter: operating cash use of $3.7M for the first half of 2026 versus $6.8M for the first half of 2025, about $7.4M a year, plus stock compensation of about $0.7M. We give no credit for revenue growth: first-half revenue is falling, and no contract, backlog or repeatable expansion record supports a recovery. Regulatory change that would allow CBD in food and supplements is not credited either, since it has not happened. - Bear: the burn stays at the 2025 level of about $12M a year for two years, after which we can name nothing that continues. Present value about -$22M, or -$0.08 per share. - Base: the burn holds at about $8M a year for two years, then nothing evidenced continues. Present value about -$14.7M, or -$0.05 per share. - Bull: cost cuts continue at the demonstrated pace, so the burn is about $8M in year one and $4M in year two, then breakeven with no further value credited. Present value about -$11M, or -$0.04 per share. All discounting is at 6%. In every case the operating business, on its own record, has not produced cash for its owners, so the shares are worth roughly nothing beyond the cash the company holds, and that cash is being spent. A shareholder is relying on cash of about $0.05 per share being conserved rather than on earning power. We would only revisit this if the company shows several quarters of positive owner earnings, which would need revenue to stop falling. What would prove this wrong. Revenue stabilised in 2025 ($49.9M versus $49.7M), and first-half 2026 operating cash use was lower than a year earlier; if that continues into profit, the business is worth more than zero. We did not count it, because it has not happened. Accounting notes: stock compensation is treated as a real cost; depreciation and impairment charges are added back automatically through the cash figures. Company disclosures used: 2025 annual report and June 2026 quarterly filing.
