Business condition attached to the margin of safety Reported DefenCath net sales for the first two full quarters after the July 1, 2026 reimbursement change (Q3 and Q4 2026) hold at roughly $40 million per quarter or better.
CorMedix is a commercial-stage pharmaceutical company that turned profitable in 2025. Its main product is DefenCath, the first FDA-approved catheter lock solution to prevent bloodstream infections in hemodialysis patients (launched April 2024). In August 2025 it bought Melinta Therapeutics for about $260 million in cash plus 3.3 million shares, adding a portfolio of hospital anti-infectives (Rezzayo, Vabomere, Minocin IV, Baxdela, the Orbactiv/Kimyrsa franchise) and the cardiovascular drug Toprol-XL. What the earnings look like. On our measure (operating cash flow, less working-capital swings, less stock compensation, less maintenance capital spending) owner earnings were about $153 million in 2025, or $1.91 per diluted share, versus a loss in every prior year in the ten-year record; before 2024 the company had almost no product revenue. 2025 holds only four months of Melinta. The first half of 2026 was stronger, roughly $134 million of owner earnings in six months. We do not treat that as the run rate, because the reimbursement that drives it is about to change, as explained next. The company was also paying very little cash tax because of carried-forward losses; the filing shows about $117 million of federal tax value in those losses at year-end 2025. We credit that as a one-time benefit and tax the business at roughly 25 percent otherwise. The key issue: DefenCath reimbursement. Medicare currently pays dialysis providers a temporary add-on for DefenCath at the drug's full average selling price. That temporary payment ended on July 1, 2026 and steps down to a much smaller add-on. The company says the reimbursement to providers will decline significantly and that it expects a corresponding reduction in DefenCath net pricing in the third and fourth quarters of 2026. If Medicare uses the same method for 2027, it estimates the add-on will be three to five times larger than in the second half of 2026, and the add-on is reassessed again on January 1, 2028 and 2029. All add-on payments end on June 30, 2029. The company did not put a dollar figure on the price cut, and the second-quarter 2026 report was not available to us in full, so the size of the reset is the largest unknown in this valuation. Revenue already dipped from about $127 million in the first quarter of 2026 to about $102 million in the second. Three customers made up 79 percent of 2025 revenue and none has a purchase commitment. What protects the franchise. DefenCath has regulatory exclusivity to November 2033 and a composition patent to April 2042, and contracted customers represent roughly 60 percent of U.S. outpatient dialysis centers. The company has one approved manufacturer per key ingredient, a modest risk. Melinta revenue grew: pro forma revenue of the acquired business rose from about $120 million in 2024 to about $142 million in 2025. Bear case ($3.10 per share). DefenCath net sales settle near 30 percent of the first-half 2026 pace, the 2027 add-on does not restore pricing, and after the add-on ends in mid-2029 outpatient use falls to about 10 percent of that pace, then to nothing after exclusivity ends in 2033. Melinta shrinks 8 percent a year from 2028 as Vabomere's regulatory exclusivity ends in August 2027 and other patents roll off. Half of the loss-carryforward benefit is lost to ownership-change limits, which the company has not yet studied. The 2030 convertible notes ($150 million at 4 percent) are treated as shares plus cash interest already paid. Base case ($8.30 per share). DefenCath net sales are about half the first-half pace in the second half of 2026, recover to about the first-half pace in 2027 and about 10 percent above it in 2028-29 on the larger add-on, drop to about a quarter of that pace after June 2029, and continue at that level until the patent expires in 2042, after which nothing is credited. Melinta stays flat at about $136 million of sales through 2030, then declines 6 percent a year as patents expire (Minocin 2031-32, Vabomere compound 2031, Baxdela 2026-2034). About half of the cost base is assumed to shrink with revenue. Value per share is about $8.30. Bull case ($12.70 per share). DefenCath net sales are 60 percent of the first-half pace in late 2026, rising to 80 to 90 percent in 2027-28 as the add-on grows, then return to the full first-half pace after mid-2029 through the 2042 patent expiry (hospital and pass-through use carrying it). Melinta stays flat through 2033, then declines 4 percent a year. Nothing depends on new products. Left out of every case: approval of Rezzayo for stem-cell-transplant prophylaxis (a Phase III readout is expected in 2026; approval would trigger milestone payments of $20 to $25 million to the Melinta sellers and $30 to $40 million to the licensor), new acquisitions, and any DefenCath sales outside the U.S., because none is yet secured or proven. Amortization of the acquired intangibles ($13.9 million in four months of 2025) is a non-cash charge and is added back, but the aging of the acquired products is reflected in the Melinta decline in each case. Discount rate is 6 percent throughout. What would make this wrong. A larger price cut than assumed would push value toward the bear case; customers cutting DefenCath use once Medicare stops paying for it would do the same. A Minocin appeal loss (Federal Circuit appeal by Nexus is pending) or a generic launch on Baxdela or Vabomere would lower the Melinta stream. The upside is a higher-than-expected 2027 add-on or continued strong hospital demand. The margin-of-safety price of $4.50 sits about 45 percent below the base value, reflecting a business whose main product's reimbursement is resetting right now, heavy customer concentration and a short record of profits.
