Americold owns and operates temperature-controlled warehouses (roughly frozen and refrigerated storage and handling for food producers, grocers and distributors) mainly in the United States, plus Canada, Australia, New Zealand, Argentina and Chile. It earns rent-like storage fees plus handling and transportation fees, and is structured as a real estate investment trust that pays out most of its income. What we measure. We value the business on owner earnings: cash from operations, with swings in working capital removed, less stock-based compensation, less the capital spending needed to keep the business going. Americold is heavily reinvesting: it spent $577 million on property and equipment in 2025 (up from $309 million in 2024 and $264 million in 2023), funded partly by a $413 million share issuance and $400 million of new notes. In years when revenue fell (2023, 2024, 2025) our method treats all of that spending as necessary upkeep, because we cannot credit growth that has not yet produced revenue. The company itself reports much smaller 'maintenance' spending ($63 million in 2025, $81 million in 2024, $78 million in 2023), so our figures are deliberately harsher than management's. Per diluted share, owner earnings were about $0.22 (2022), $0.31 (2023), $0.39 (2024) and a loss of $0.81 (2025, when capital spending spiked). Earlier years (2018-2021) were distorted by a string of large acquisitions (Cloverleaf, Agro, and others), so we anchor on 2022-2025, after the business reached its current form. The median of those four years is about $0.26 per share. Depreciation and amortization of about $367 million, several large impairments (including $236 million in 2023) and the 2025 loss on debt extinguishment ($116 million) are non-cash and are already excluded from cash flow; the impairments and the failed Comfrio (Brazil) venture, sold in 2023, are a record of past acquisition mistakes that we reflect in the bear case. Bear case ($2.00 per share). Revenue has slipped from $2.67 billion (2023) to $2.60 billion (2025), the company reports net losses each year since 2021, and it carries substantial debt with interest costs already in cash flow. The bear case has owner earnings sitting near the weakest year in our window (about $0.22) and shrinking about 2% a year, as volumes and pricing stay soft and refinancing costs bite. Base case ($4.40 per share). Owner earnings stay at the roughly $0.26 median level with no growth. We credit no growth from new development projects, share gains or a recovery in occupancy, because none of that is contracted or a proven, self-funded, repeating process. The warehouses themselves are long-lived real assets, which is why we let earnings continue rather than fade. Bull case ($9.00 per share). The expansion and development projects already paid for in 2024-2025 come into service and capital spending falls back toward a level nearer to what management calls maintenance. If cash flow before working capital and stock compensation of about $377 million (2025) holds while spending falls to roughly $150 million a year, owner earnings would approach $0.70 per share; we haircut for ramp time and leave out any further growth. Changes and limits. This is our first analysis of this company. The main judgement is the capital spending treatment described above: if you believe most of the $577 million is discretionary and will earn a good return, value is meaningfully higher than our base case, and the bull case captures that. We could not reconcile how much of 2025 spending is committed to projects still under construction from the annual report alone. The margin-of-safety price is about $2.30, which leaves a wide cushion against the bear case for a leveraged owner of real estate with negative earnings and a recent record of write-offs.
