Business condition attached to the margin of safety FDA approval of bezuclastinib for non-advanced systemic mastocytosis and at least two quarters of commercial sales showing the launch is covering its own costs.
Cogent Biosciences is a clinical-stage drug developer with no product revenue. Its lead drug, bezuclastinib (licensed from Plexxikon, with tiered royalties from a low-single-digit to a high-single-digit percentage on future sales), targets mutations of the KIT protein in systemic mastocytosis (SM) and gastrointestinal stromal tumors (GIST). The company reported positive Phase 3 results in its trials, and filed its first New Drug Application (non-advanced SM) in December 2025. A GIST application was started in January 2026, and management plans a U.S. launch in the second half of 2026 if approved. What the business earns today: nothing. Owner earnings (operating cash flow, less working-capital swings, stock compensation and maintenance capital spending) have been negative every year we measured: about -$1.93 per share in 2021, -$2.46 in 2022, -$2.40 in 2023, -$2.36 in 2024 and -$2.40 in 2025 (roughly -$309 million in 2025). Growth in owner earnings last year was about 0%, and we assume none in year 1. Working-capital adjustments used only the lines we could identify in the filings, so the cash-flow reconciliation is not perfect (about $18 million of 2025 difference is unexplained), which does not change the conclusion. How we valued it: we credit only what is secured or already proven. Cash is real: $900.8 million of cash and marketable securities at December 31, 2025, which management says funds operations into 2028. Operating cash use was about $164 million in the first half of 2026, so we estimate roughly $4 per share of cash remained by mid-2026 (an estimate from that cash burn, not a reported balance; about 183 million shares including preferred stock and warrants convertible into common). Regulatory approval, market acceptance, sales and future margins are all events that have not yet happened, so no drug revenue is credited in any case. Bear case ($1.50 per share): the FDA rejects or materially delays the filings, the company keeps spending through 2027 and then winds down, leaving a portion of today's cash after continued burn of roughly $300 million a year. Base case ($3.00 per share): no drug earnings credited. We value the cash the company owns after continuing to fund the launch preparation and operations through about the end of 2026, at roughly $3 per share. Any earnings power from bezuclastinib is worth zero here because it is not yet proven. Bull case ($8.00 per share): the FDA approves bezuclastinib on the filed timeline, the launch goes to plan, and the drug's sales grow to cover the company's costs and generate a profit. It is a judgement call. It is worth roughly the cash plus about $5 a share for a small, profitable franchise. It is not a forecast and could be wrong by a wide margin. Royalties owed to Plexxikon and continued share issuance would reduce this. What would make this wrong: strong approval and a fast launch would put the value well above our base; a rejection or new safety issue would push it toward the bear. Additional stock sales would dilute the per-share figures. The single-asset dependence (the company says its business depends on bezuclastinib, and its API supply comes from sole-source suppliers) is why a wide margin of safety is required. The margin-of-safety price is $1.20 per share, conditional on approval and demonstrated launch profitability.
