Business condition attached to the margin of safety Two consecutive fiscal years of positive owner earnings (cash from operations after working-capital swings, stock compensation and capital spending), with annual revenue decline slower than 3%.
Conduent provides business-process services to corporate and government clients, including payment services, government program enrollment and eligibility, and toll and transit fare systems. It reports three segments: Commercial, Government and Transportation. The business is shrinking. Revenue fell from $6.0 billion in 2017 to $3.0 billion in 2025. In 2025 revenue was $3,042 million, 9% below 2024; about 57% of that drop came from the 2024 sales of BenefitWallet, the Curbside Management and Public Safety businesses and Casualty Claims Solutions, and the rest came from lost business and lower volumes, partly offset by new contracts. In the first half of 2026 revenue was $1,118 million, 8% below the same period of 2025. What we measure. We estimate the cash an owner could take out each year: cash from operations, minus swings in receivables, payables and taxes, minus stock compensation, minus capital spending. Revenue fell every year, so all capital spending is treated as upkeep. Per share, this came to: 2017 $0.65, 2018 -$0.19, 2019 -$0.97, 2020 -$0.07, 2021 $0.47, 2022 -$0.29, 2023 $0.01, 2024 -$0.96 and 2025 -$1.04. Only three of nine years were positive. One judgement matters a great deal. The cash flow statement has "other assets" and "other liabilities" lines that were a net cash outflow in eight of the nine years, about $1.1 billion in total. We treat them as real costs, not as timing swings. The company capitalizes the set-up costs of new contracts and then amortizes them through depreciation and amortization (which is added back to cash flow), so the cash going out is a recurring cost of winning and keeping work; restructuring accruals also run through these lines. If these lines were instead stripped out as working capital, the 2021 to 2025 median would be +$0.48 per share instead of -$0.29. We think the stricter treatment is the more honest one for a business whose revenue keeps falling, since falling revenue should release working capital rather than consume it. Level used. We use the median of 2021 to 2025, which is -$0.29 per share (about -$45 million a year). We start at 2021 because 2019 and 2020 were each hit by a $118 million payment to the State of Texas under a $236 million settlement, which distorts those two years. In 2025 the figure was -$1.04, which included $17 million paid for the January 2025 cyber incident (another $8 million is expected in the first half of 2026). Growth path. Owner earnings in 2025 were -$1.04 per share versus -$0.96 in 2024 (about $19 million better in total dollars, but lower per share because the share count fell). The base case assumes no improvement from the -$0.29 level, which is better than the 2025 result. The dated reason is the second-quarter 2026 filing (August 10, 2026): first-half 2026 owner earnings were about -$36 million versus about -$114 million in the first half of 2025, and cash interest paid has fallen from $106 million in 2023 to $46 million in 2025 after the 2024 debt paydown. We do not move the level further on one half-year. Base case (-$1.20 per share). The median path is that the business keeps consuming about $0.29 per share a year, plus about $0.06 per share for the $10 million annual preferred dividend, until the $520 million of 6.20% senior notes come due in 2029. Nothing we can name and document turns the business around before then, so the story ends there. Four years at that rate is worth about -$1.20 per share today. This means that on our numbers the common shares appear to owe slightly more than they are worth. Bear case (-$3.70 per share). The losses of 2024 and 2025 (about -$1.00 per share a year) continue through 2029 while revenue keeps shrinking; restructuring charges have picked up in 2026 (first half: $28 million versus $12 million a year earlier). At the end of 2025 the company had $691 million of debt, including $109 million drawn on its revolving credit line, and $233 million of cash. On this path the shares appear to owe roughly $3.70 each more than they are worth. Bull case (+$1.50 per share). The lower interest bill and cost cutting (about 1,500 job reductions in 2025) deliver the 2023 level of cash generation, adjusted for today's much lower interest cost and today's smaller revenue, or about $0.26 per share a year after preferred dividends. It lasts seven years, with nothing after that because no contract or moat that we can name and document extends beyond it. What we left out. We credit no growth at all. New-contract ramp-ups, the AI Experience Center launched in 2025, margin gains and further sales of businesses are not counted, since none yet shows up in cash generated. Interest savings are already in the 2025 results and are not counted twice. Could not be reconciled. The second quarter of 2026 shows a $116 million net loss; the filed data available to us does not explain its cause, and operating cash flow for the half was roughly break-even, so we have not treated it as a cash drain. What would prove this wrong. Several years of positive cash generation after restructuring, with revenue declines slowing, would put the value well above our base case.
