CMS Energy is the parent of Consumers Energy, a regulated Michigan electric and gas utility, with a small NorthStar Clean Energy renewables arm (7% of 2025 profit). A utility growing its rate base outspends its cash flow - $3.8 billion of capital spending in 2025 against $2.2 billion of operating cash flow - so earnings power here is normalized profit available to common shareholders, not free cash flow. Per-share earnings compounded from about $2.22 in 2019 to $3.53 in 2025, near 8% a year, excluding the 2021 gain on the sale of the consumer-lending unit; 2025 is normalized to roughly $3.50 for favorable weather. The bear case assumes 3% annual growth and an 11% required return, reflecting a Michigan commission authorizing 9.8-9.9% returns and granting about half of requested rate increases, climbing parent-company interest expense, and unresolved storm and coal-plant cost recovery; it is grounded in the 2016-2019 stretch when growth ran under 4%. The base case uses 5.5% growth at a 9.5% discount, below the trailing record because share issuance to fund construction now runs 2-3% a year and dilutes per-share results. The bull case uses 7% at 8.5%, the most the regulatory record and new large-load customers support. Roughly $18.8 billion of debt, $6.2 billion of it at the holding company, means the business cannot self-fund and depends on continuous capital-markets access, and a $224 million preferred issue ranks ahead of common. Given that leverage the margin-of-safety price anchors on the bear case with a further 20% discount, reflecting high but not complete confidence in that floor.
