Business condition attached to the margin of safety FDA acceptance of the COMP360 New Drug Application for filing (expected around the fourth quarter of 2026).
Compass Pathways is a clinical-stage pharmaceutical company developing COMP360, a synthetic psilocybin-based therapy administered under medical supervision, for treatment-resistant depression (TRD) and, at an earlier stage, post-traumatic stress disorder. The company has never generated product revenue. Both of the company's pivotal Phase 3 trials in TRD (COMP005 and COMP006) have reported that they met their primary endpoint, and COMP360 holds FDA Breakthrough Therapy designation. Following the second trial's data in February 2026, the FDA agreed to meet with the company to discuss a rolling review of a New Drug Application, with full submission targeted for the fourth quarter of 2026. These are real, dated developments - but an FDA decision has not happened yet, and psilocybin remains a federally controlled (Schedule I) substance in the U.S., which adds rescheduling and handling requirements on top of ordinary drug approval even if COMP360 is approved. Because approval is not yet secured, this valuation does not assume it, or credit any future product revenue. What follows is a valuation of the company as it stands today - cash in the bank, funding a still-unprofitable clinical program - not a bet on the trial data reading through to a marketed drug. On that basis, the company's worth is essentially what is left of its cash after funding the spending already built into its operating plan, with nothing added for the drug candidate's prospects. As of the most recent balance sheet, the company held about $433 million in cash against roughly $51 million of real interest-bearing debt (a term loan maturing July 2027), for net cash of about $383 million, or roughly $2.82 per share on the current share count. The company also carries a large and fast-growing liability tied to warrants issued in prior financings, which are marked to the stock price; because these are very likely to be settled in new shares rather than cash, they mainly represent future dilution already priced into the mark-to-market number rather than a straightforward debt-like claim, and are treated here as a serious dilution risk rather than a dollar-for-dollar subtraction from cash. The company has spent between roughly $150 million and $175 million a year funding its trials and operations, most recently trending toward the higher end as it builds out commercial readiness ahead of a possible launch. None of that spending is credited with generating future value in this analysis, since there is no revenue to show for it yet. Run forward at current spending levels, the cash on hand funds roughly two to three years of operations. Because the cash is being spent over time rather than all at once, its value today is close to, but modestly above, what would remain if it were simply divided by the number of years of runway - the base case comes out to about $0.25 per share, the bull case (assuming somewhat more disciplined spending as the costliest trial work winds down) about $0.35, and the bear case (assuming heavier spending, a difficult refinancing of the 2027 debt maturity, and substantial share issuance to keep the company funded) close to nothing. What would change this picture: an FDA decision to accept the New Drug Application for review, which would convert the company's prospects from a clinical hypothesis into an assessable regulatory and commercial timeline, at which point a revenue-based valuation would become appropriate. Until then, shares are, in effect, a call option on that outcome layered on top of a thin cash floor, and this analysis prices only the floor. One assumption worth stress-testing directly: the case for a materially lower forward burn rate rests on Phase 3 trial costs winding down now that enrollment is complete and both primary endpoints have been read out. Against that, general and administrative spending has been rising, consistent with pre-launch commercial build-out, and a new clinical program in PTSD is in early design discussions - a real, disclosed source of spending that could keep total cash use closer to recent levels than the wind-down story implies.

Chart analysis
A chartist would describe this as a classic binary-catalyst clinical-stage biotech pattern rather than a trending stock: long stretches of drift punctuated by sharp gap moves around trial data - notably the June 2025 first pivotal trial readout and the February 2026 second pivotal trial readout. The share count has roughly doubled over the past eighteen months as the company raised capital opportunistically (including a large financing in early 2025 and again around mid-2026), which a technician would flag as a persistent source of new supply that can cap follow-through after catalysts. The very large warrant position issued in these raises adds further potential dilution. Absent a fresh catalyst (the next being the planned NDA filing), a chartist would expect range-bound, event-driven trading rather than a sustained trend.
