CME Group runs the largest futures and options exchange and clearing house in the world, matching and clearing trades across interest rates, equity indexes, energy, agricultural commodities, metals, and foreign exchange, and it also sells the market data that comes off that trading activity. It earns a fee on essentially every contract that changes hands, so its revenue rides on how much trading volume moves through its markets rather than on the direction prices move. In 2025 the company handled a record average of 28.1 million contracts a day, the third consecutive annual volume record, spread across every major product line rather than concentrated in one. Since absorbing NEX Group's cash and post-trade trading venues (BrokerTec and EBS) in late 2018, that combined business alone produced $284 million of transaction fees in 2025, evidence the acquisition has been integrated successfully rather than sitting as a write-off waiting to happen. The company carries about $3.4 billion of fixed-rate debt on well-spaced maturities running out to 2048 — modest next to the roughly $4 billion a year of cash the business throws off, so leverage is not a meaningful constraint here. Owner earnings — cash generated by the business after paying for the ongoing equipment and technology it needs, and after stripping out stock-based compensation and swings in working capital — have grown from about $6.60-6.70 a share in 2019-2021 to $11.02 a share in 2025, a period that also saw revenue diversify further into market data (up 13% in 2025 alone) alongside the core trading fees. Because a large piece of the cost base is purchased-intangible amortization from the NEX deal (running $220-230 million a year) that isn't a genuine ongoing cash cost, but also isn't free money either — it represents an acquisition that was paid for once and is being written down — the growth assumptions below treat that decline as a fixed feature of the earnings stream rather than assuming it just disappears. Three cases: Base case (our estimate of fair value: roughly $278 a share). This assumes the trading-volume growth of the last several years continues, but decelerates: mid-single-digit annual growth in owner earnings for the next several years (starting below the actual growth rate achieved in 2025, since nothing currently on file promises an acceleration), tapering toward roughly 3% by year ten as the business gets larger. Beyond that, we assume the earnings level persists on the strength of CME's structural moat — a multi-decade record of dominant, largely uncontested share in listed interest-rate and equity-index derivatives — growing modestly in line with the broader economy, rather than assuming any new specific catalyst. Bear case (roughly $163 a share). Trading volume, especially in the interest-rate complex that is CME's single largest product line, is sensitive to how much volatility is in the market; 2019-2021 already showed what a multi-year lull looks like, with owner earnings essentially flat for three years. This case assumes a similar stretch recurs — a couple of years of flat-to-slightly-declining earnings before a slow recovery to roughly 1.5% annual growth — and it also gives weight to a newly launched competing exchange (FMX Futures Exchange) that is aiming directly at CME's interest-rate futures franchise, plus newer-format competitors such as prediction-market platforms, both called out as competitive risks in the latest annual filing. We also note that clearing fee revenue is somewhat concentrated: CME's single largest clearing-firm customer represented 12% of clearing and transaction fee revenue in 2025, so a change in that relationship would be felt. Beyond year ten we assume no further growth at all — earnings hold at whatever level the business reaches, nothing more. Bull case (roughly $420 a share). This assumes CME's own currently visible levers keep working well: the record-volume trend continues near its recent pace for several more years, the cash-markets and data businesses keep growing at something like their recent rate, and none of the competitive threats named above meaningfully dent the core franchise. It is not a bet on some new, unnamed catalyst — just a continuation, well-executed, of trends already showing up in the numbers. What this means for the margin-of-safety price. Even the bear case does not put this business anywhere near a level where debt or survival is in question — the spread between the cases reflects how much trading activity CME captures, not whether the business itself is at risk. Given the genuine (if moderate) sensitivity of earnings to the volatility cycle, and a newly credible competitor in its most important product line, the margin-of-safety price is set at a meaningful discount to our fair-value estimate — around $189 a share — to allow for the bear case actually happening. One item we could not fully reconcile: in the first half of 2026, cash flow from operations grew only about 1.5% year over year while revenue and net income grew faster (roughly 8% and 11% respectively); the gap traces to a swing in a working-capital line (largely balances tied to clearing-house collateral, which move together on the asset and liability sides of the balance sheet) rather than to any change in underlying profitability, and it does not affect the earnings level used above.
