COGNITION THERAPEUTICS INC (CGTX) stock intrinsic value fair value estimate & owner earnings analysis

Margin of safety$0.00 ComplexityHigh Updated
Business condition attached to the margin of safety A signed, funded Phase 3 partnership or licensing agreement (or other contracted non-dilutive funding) that covers the trial costs without further share issuance.
Cognition Therapeutics (Purchase, New York) is a clinical-stage biotechnology company developing oral drugs for Alzheimer's disease, dementia with Lewy bodies and related conditions; its lead candidate is zervimesine (CT1812). It has no products on the market and no product revenue. Its cash inflows are largely National Institute on Aging grants, which offset part of research spending. Earnings power: on our owner-earnings basis (operating cash flow, less working-capital swings, less stock compensation, less capital spending), the business has consumed cash every year: roughly $(2.36), $(0.89), $(0.70), $(0.82) and $(0.40) per share for 2021 through 2025, or about $29 million of negative owner earnings in 2025. Per-share losses look smaller recently mainly because the share count grew from about 30 million (2023) to about 73 million weighted (2025) and 89 million outstanding, i.e. through dilution. What we credit: the company ended 2025 with about $36.8 million of cash, and its auditors did not raise a going-concern warning because recent equity raises fund operations for a year. But that cash is a balance sheet item that will be spent on trials; at a burn of roughly $25-30 million a year it covers little more than a year, and the filing says existing cash will not be enough to take any candidate through approval. In July 2025 the company held an end-of-Phase 2 meeting with the FDA about a Phase 3 program in early Alzheimer's disease, but a meeting is not a funded trial, a partner, or an approval. Bear, base and bull: we can point to no signed licence, funded Phase 3, approval or revenue that produces future owner earnings, so none is credited in any case. Each case therefore values the business at $0 per share: the bear case is further dilution and trial failure with the cash consumed; the base case is continued cash burn funded by new share sales, which transfers value away from existing holders rather than adding to it; the bull case, lacking any contracted driver, also has nothing we can name and evidence. This is not a claim that the drug will fail; a successful Phase 3 or partnership would be a large event, but it would be a new fact we would need to see first. Our worth-nothing valuation would be wrong if a partner funds development on strong terms or the drug is approved. No margin-of-safety price above $0 is set, and the estimate would be revisited only on a signed, funded Phase 3 partnership or other contracted funding of the trial. The stock also carries the Nasdaq continued-listing risk noted in its filings, and shares outstanding have more than doubled in two years. This is a first analysis of the company, so there is no prior view to compare against.
