Cullinan Therapeutics is a clinical-stage cancer drug developer with no approved products and no product revenue. Its lead asset, zipalertinib, is an oral drug for lung cancer with EGFR exon 20 insertion mutations, developed with Taiho Pharmaceutical, which will commercialize it. The company also funds earlier programs, chiefly CLN-978 and CLN-049. Because the business spends far more than it takes in, its earning power is negative today: over the last six years the cash a shareholder would have kept after operating spending, stock compensation and capital spending was a loss of between roughly $1.50 and $4.00 per share every year, and $3.83 per share in 2025 (cash used in operations of $175.8 million plus $36.0 million of stock compensation, adjusted for $14.1 million of favorable working-capital timing). 2022 reported a net profit only because of a one-time $276.8 million gain from selling the Cullinan Pearl subsidiary; that gain is not an operating cash flow and is excluded. What the shares are worth therefore rests on two things we can name and verify: the cash on hand, and the payments Taiho has contractually agreed to. At December 31, 2025 Cullinan held $347.8 million of cash and investments, against a 2025 operating cash outflow of $175.8 million, or roughly two years of runway at that pace. Under its Taiho agreements Cullinan is eligible for $30 million tied to U.S. approval in the second-line setting and up to $100 million more for first-line approval, and it shares zipalertinib development costs and future U.S. pre-tax profits equally. Taiho completed a rolling new drug application submission in February 2026 seeking accelerated approval, and the drug holds FDA Breakthrough Therapy designation. Bear case, $0.00 per share: the second-line application is delayed or not approved, spending continues near $175 million a year, and the cash is used up in about two years with nothing contracted to replace it. We do not model a negative value; we simply credit nothing beyond the cash that gets spent. Base case, $0.70 per share: cash is spent at the current pace, leaving little of it after about two years, and the $30 million second-line approval payment arrives about a year from now. That is credited because the application is filed, the drug has Breakthrough designation, and the payment is written into the contract. Bull case, $2.20 per share: in addition, zipalertinib is approved in the first-line setting, which triggers up to $100 million more, assumed around 2028; the first-line Phase 3 trial (REZILIENT3) completed enrollment in February 2026. What we left out: any profit share from future U.S. zipalertinib sales, and any value for CLN-978, CLN-049 or other early programs. We could find no sales history, signed commercial contract or approved product behind them, so they are worth nothing in our cases even though the company is spending the cash on them. Investors who believe the pipeline can succeed would value the shares well above these figures, and that is the main way this analysis could prove too low. Share dilution is a further risk: weighted-average shares rose from 43.1 million in 2021 to 59.1 million in 2025 (60.5 million outstanding in February 2026), and any further share sales would reduce each existing share's claim on the cash. The margin-of-safety price of $0.20 per share is set well below the base case because the value depends on a single drug's approval and on spending that consumes nearly all of the cash. Our values are low relative to the cash on hand because we treat money spent on unproven programs as fully consumed.
