bear -$0.26 base $2.25 bull $8.66 margin of safety $1.13 market price* $2.18
Business condition attached to the margin of safety Company restructures or successfully delays (to April 2027) the amortization start on its ~$84M secured Term Loan Credit Agreement without a distressed, highly dilutive refinancing or equity raise.
Cerus Corporation makes the INTERCEPT Blood System, a chemical process used by hospitals and blood centers to inactivate viruses, bacteria, parasites and white blood cells in donated platelets and plasma, making the blood supply safer without relying solely on disease-by-disease testing. The company also sells INTERCEPT Fibrinogen Complex, a therapeutic product for severe bleeding approved in the U.S. in 2020, and receives government funding (mainly from BARDA) to develop a version of the system for red blood cells, which has completed a U.S. Phase 3 trial and is working through a resubmitted European approval application. The business has grown steadily, with revenue compounding from about $51 million in 2017 to about $234 million in 2025. Gross margin on product sales has held near 55% for the last two years. More importantly, losses have narrowed sharply and consistently: the operating loss shrank from $30 million in 2023, to $14 million in 2024, to $9 million in 2025, as revenue growth has begun to outpace expense growth. The company still spends heavily on stock-based compensation (about $23 million in both 2024 and 2025) which we treat as a real cost to shareholders, and it carries about $84 million of secured bank debt whose scheduled principal repayments are set to begin in April 2026 unless the company exercises an option to delay that to 2027. Because of the stock-based compensation cost, the cash actually available to owners after real maintenance spending has been negative every year in our data, though that shortfall has narrowed from about $0.54 per share in 2017 to about $0.08 per share in 2025. We used the median of the last three fiscal years (2023-2025), about $0.11 per share negative, as our normalized starting point - slightly more conservative than the most recent year. In the most recently completed year, that shortfall narrowed by about 25% versus the year before; our base case's near-term path tracks that same pace rather than assuming faster improvement, since we don't have a specific new reason to expect acceleration. Our base case assumes the recent trend of steady operating leverage continues: revenue keeps growing at a gradually decelerating pace (low double digits in the next couple of years, high single digits by year ten), margins hold in the mid-to-high 50s, expenses keep growing slower than revenue, and the term loan gets paid down over the period. On this path the company becomes sustainably profitable around 2029 and reaches a high-single-digit owner-earnings margin a decade out. We value that at roughly $2.25 per share. Our bear case assumes growth slows to the low single digits as the import tariffs and currency pressure already flagged in the company's own filings squeeze margins, the efficiency gains of the last two years don't continue compounding, and the company has to refinance its term loan or raise equity on unfavorable, dilutive terms as repayment begins in 2026. Under this path the company is only marginally profitable a decade out, and the discounted value of cash available to shareholders comes out slightly negative, around -$0.26 per share, once the debt and heavier dilution are accounted for. That doesn't mean shareholders owe money; it means this scenario's realistic cash stream to owners, discounted at 6%, is worth a bit less than nothing. Our bull case assumes the platelet and plasma franchise keeps expanding into new hospitals and blood centers at its recent mid-teens pace, gross margin expands toward 60% with scale, the red blood cell system reaches the market later in the decade and opens a large new product category, and the debt is paid off within a few years, removing the interest drag. We value that outcome at roughly $8.66 per share. Given how wide that range is, and that our bear case is negative, the margin-of-safety price sits at a meaningful discount to our base-case estimate, and it assumes the company gets past its April 2026 term-loan decision without a distressed, highly dilutive financing - that debt decision is the single biggest swing factor between our base and bear cases. The margin-of-safety price is about $1.13 per share, conditioned on that debt situation being resolved on reasonable terms. One accounting judgment worth noting: we treated the company's roughly $23 million of annual stock-based compensation as a real cost, even though it is added back in the cash flow statement - this is the single biggest reason owner earnings are still negative despite the company generating positive operating cash flow in both 2024 and 2025. We also had to make a call on 2019's unusually large capital spending (a one-time manufacturing facility expansion): our formula attributes most of that year's spending to "maintenance" because it did not scale with that year's revenue growth, which likely understates true owner earnings for that single year, though it does not affect the current valuation, which relies on more recent years. We found no going-concern warning, no indication of Chinese ownership or control, and no cannabis, cryptocurrency, shell-company or delisting concerns in the filings.
