Consensus Cloud Solutions sells secure digital document exchange, above all cloud fax. It was spun out of J2 Global (now Ziff Davis) in October 2021. It sells to two groups. Corporate customers, with a heavy focus on healthcare providers, payers and other regulated businesses, use eFax Corporate, jSign, Clarity (which pulls data out of faxed documents) and interoperability tools that link fax to electronic health records. Revenue from them was $222.7 million in 2025, up $13.6 million (6.5%), after a $9.5 million gain in 2024. Small-office and home users (the older consumer eFax subscriptions) brought in $127.0 million, down $14.3 million (10%), after falling $21.7 million in 2024. Total revenue has been roughly flat since the spin-off: $362.4 million in 2022, $349.7 million in 2025 and $179.8 million in the first half of 2026 (up 2.8%). The whole story is whether Corporate growth keeps outpacing the small-office decline. About 78% of sales are booked in the United States and 16% in Canada, and there is no customer concentration. Earnings base. We measure owner earnings as operating cash flow, minus working-capital swings, minus stock compensation (about $17-20 million a year, counted as a real cost), minus the capital spending needed to maintain the business (about $30-36 million a year, mostly capitalized software; revenue has not grown, so all of it counts as maintenance). Bad-debt charges are also treated as a real cost. On that basis the standalone company earned $58.7 million in 2022, $57.6 million in 2023, $73.5 million in 2024 and $93.0 million in 2025, all after interest. To value the business before its lenders, we add back cash interest paid ($51.9M, $51.4M, $43.5M and $37.3M). That gives about $5.55, $5.56, $6.04 and $6.70 per share. The 2025 figure includes a one-time cash-tax benefit of about $15 million. Deferred tax expense was $17.8 million against a normal $2.5 million, and cash taxes paid fell to $14.6 million from $26.4 million. We attribute this to the July 2025 federal tax law, which let companies immediately deduct research spending that had been capitalized since 2022. The filing does not itemize the effect, so this is our estimate. We strip it out, which leaves 2025 at about $5.91. Our anchor is the median of 2022-2025, about $5.74 per share, or $110 million of cash before interest. The figures from before the 2021 spin-off include businesses that were later sold, plus debt and taxes allocated by the parent, so we did not use them. Intangible amortization is small ($2.6M in 2025), so no wasting-asset adjustment was needed. Growth check. In 2025, cash before interest rose 11% as reported but fell about 2% after removing the tax benefit. Our base case starts 2026 about 1% below the anchor, so it assumes no acceleration. Debt. At June 30, 2026 the company owed $558.5 million: $348.2 million of 6.5% senior notes due October 15, 2028, plus about $146 million of term loan and $64 million of revolver under a secured bank facility that also matures July 10, 2028 (priced at SOFR plus 1.50-2.25%). Against this it held $98.9 million of cash, of which we treat about $20 million as needed to run the business. We also count a $14.5 million uncertain-tax liability and a small premium for the notes' above-6% coupon. Net debt is about $497 million, or $25.91 per share. Almost all of it matures in 2028. The notes are quoted near par (fair value $349.1M against $348.2M principal), and the business covers its interest about three times over, so refinancing looks achievable. That depends on credit markets in 2028, though. Base case ($27.13 per share). Small-office revenue keeps falling about 10% a year, its 2025 rate. Corporate grows 4% a year for five years and 2% for the next five, well below the 5-6.5% it has recently delivered, because new-customer wins are not locked in. Margins hold at the current 31.5% of revenue as cash before interest. Revenue stays near $345 million and cash before interest near $108-110 million through 2035. After year ten we see no evidence that cloud fax will hold its place in healthcare for good. Industry standards such as FHIR and national health-data exchange are designed to replace it. So the case fades cash flow to zero over the following ten years. The business is worth about $1,017 million ($53.04 per share). Less $497 million of net debt, that leaves about $520 million, or $27.13 per share. Bear case ($7.99 per share). The small-office base erodes faster, at 14% a year. Corporate grows only 1% a year through 2028, then shrinks 2% a year as healthcare moves document exchange onto standards-based APIs. Margins slip 0.3 points a year, because part of the cost base (network, data centers, compliance, public-company costs) does not shrink as revenue falls. The 2028 refinancing costs roughly 2.5 points more than today, which we charge as about $55 million of extra debt cost. Cash before interest falls from about $104 million to $65 million by 2035 and then fades to zero by 2041. The business is worth about $705 million ($36.77 per share) against $552 million ($28.78 per share) owed, leaving $7.99. Interest stays covered in every year of this case. Bull case ($42.70 per share). Corporate grows 5% a year for five years and 3% after that, close to its recent record. Small-office decline slows to 8% a year. Revenue reaches about $385 million by 2035, and cash flow holds at that level for five more years before fading over ten. The business is worth about $1,316 million ($68.61 per share), leaving $819 million, or $42.70 per share, after debt. What would make this wrong: Corporate growth reversing while the small-office decline continues. A healthcare shift away from fax faster than the 10-to-20-year horizon assumed here. Or a 2028 refinancing on much worse terms. On the upside, Corporate growth could last longer, and debt paydown could turn more of the business value into shareholder value sooner than these cases assume.
