Business condition attached to the margin of safety Several consecutive quarters (at least four) of positive core operating earnings, with the Tier 1 leverage ratio restored to at least the 9% OCC-mandated Individual Minimum Capital Ratio (from 8.70% at fiscal year-end March 2025) and the total risk-based capital ratio to at least 12% (from 11.56%), without a further dilutive share issuance to get there.
Carver Bancorp is the holding company for Carver Federal Savings Bank, a Harlem-based community bank and one of the largest African-American-operated banks in the United States. It operates as a federally certified Community Development Financial Institution (CDFI) and Minority Depository Institution (MDI) focused on lending to underserved New York City neighborhoods, with a loan book concentrated in multifamily and commercial real estate, much of it rent-regulated housing. Over the last decade the bank has struggled to generate sustainable profits for common shareholders: in eight of the last ten fiscal years it lost money on an owner-earnings basis (net income adjusted for the provision for credit losses net of actual loan charge-offs, depreciation, and premises/equipment spending). Fiscal 2025 (ended March 2025) was the worst year in the period - a $13.7 million net loss, more than four times the prior year's $3.0 million loss - driven by higher funding costs, higher operating expenses, a 54% drop in fee/gain-on-sale income, and a jump in credit provisioning. Non-performing loans rose to 3.4% of assets from 1.6% a year earlier, and reserve coverage of those problem loans fell to about 26% from 50%. At the same time, the Bank's regulatory capital slipped below the elevated capital targets the OCC has required it to hold since 2016 (a 9% Tier 1 leverage ratio and 12% total risk-based capital ratio); at fiscal year-end it stood at 8.70% and 11.56% respectively - still technically "well capitalized" by ordinary standards, but short of what its own regulator specifically requires of it. We did not find an auditor going-concern opinion, a pending delisting notice, or a formal enforcement order in the filings, so the shares were fully valued rather than screened out. But the underlying economics are weak. The two most recently reported quarters (through September 2025) showed a smaller loss than the same period a year earlier, which is the basis for assuming some near-term improvement in our base case rather than a straight-line continuation of fiscal 2025's trough - though that improvement is still a loss, not a recovery to profitability. Our base case assumes losses gradually narrow over the next several years as elevated credit costs and funding costs ease, reaching modest profitability - in the range the bank achieved in its better years (fiscal 2018 and fiscal 2022) - only in the back half of a ten-year forecast. On that path, the business is worth close to nothing today, and arguably slightly negative: roughly break-even at best once the losses between now and any recovery are counted. Our bear case assumes the credit stress evident in Carver's rent-regulated multifamily book - a segment broadly pressured since New York's 2019 rent law changes limited what landlords can pass through to tenants - continues to build, that the Bank keeps missing its capital targets, and that further dilutive share issuance is needed to keep it going, with losses persisting through most of the forecast window and no assumption that it reaches profitability within ten years. That case is worth deeply negative, reflecting the real possibility that the bank continues consuming shareholder capital for years to come; where the case values a company below zero, that means the ongoing capital needs and losses are estimated to exceed anything the business is likely to be worth to a common shareholder. Our bull case assumes the credit stress proves temporary, reserves already taken prove adequate, expenses are brought under control, and the Bank returns within a few years to the modest but real profitability it has shown before, sustained through the rest of the forecast. That case is worth several dollars per share, but roughly three-quarters of that value depends on what the bank earns from around year four onward, so it rests heavily on a sustained recovery actually happening, not just a single good year. Taken together, the range from deeply negative to modestly positive reflects a genuinely fragile institution whose value depends almost entirely on whether it can restore consistent profitability and rebuild its capital cushion. Because our base case comes out at or below zero, no specific margin-of-safety price is set for these shares today; that estimate would be revisited only if the Bank posted several consecutive quarters of positive core earnings and rebuilt its capital ratios comfortably above its regulator-mandated minimums without further shareholder dilution.

Bank-adapted OE = NI + (provision-NCO) + D&A - SBC - premises capex. FY2025 (FYE 3/31/2025): NI=$(13,744)K (a net loss driven by higher interest expense, higher non-interest expense and higher provision, plus a 53.7% drop in non-interest income, per MD&A - no one-time impairment identified); provision for credit losses=$1,200K, net charge-offs=$725K, provision-NCO=$475K; D&A=$813K; SBC=$66K; premises capex=$331K. OE=(13,744)+475+813-66-331=$(12,853)K; diluted shares=5,183,492; OE/sh=$(2.48). Reconciliation check: CFO this year was $(12,609)K vs OE of $(12,853)K, a ~2% gap - within tolerance. At 3/31/2025 nonaccrual loans were $24.6M (3.4% of assets, up from 1.6%), ACL/nonaccrual coverage fell to 25.8% from 49.9%, and the Bank's Tier 1 leverage ratio of 8.70% and total risk-based capital ratio of 11.56% were both below its OCC-imposed Individual Minimum Capital Ratio (IMCR) requirements of 9%/12% (in place since 2016), though still above standard well-capitalized PCA thresholds. Bank-adapted OE = NI + (provision-NCO) + D&A - SBC - premises capex, using disclosed net charge-offs. FY2024 (FYE 3/31/2024): NI=$(2,977)K; provision=$83K, net charge-offs=$109K (both disclosed in FY2025 10-K MD&A), provision-NCO=$(26)K; D&A=$965K; SBC=$220K; premises capex=$360K. OE=(2,977)+(26)+965-220-360=$(2,618)K; diluted shares=4,845,975; OE/sh=$(0.54). Note: CFO this year was $(6,571)K, materially more negative than the $(2,618)K OE figure - the gap traces to a large swing in loan-sale/gain-on-sale and other non-interest-income-related working-capital items typical of a bank's operating cash flow, not captured (deliberately) by the NI-based bank formula; consistent with the standing project convention of not using CFO as the base for depository institutions.
