Business condition attached to the margin of safety The Gearing segment posts a positive operating margin, or clearly rising revenue, for two consecutive quarters -- confirming that its 2025 operating loss was a volume trough (orders were actually up 52% that year) rather than the start of a lasting decline.
Broadwind is a small U.S. precision manufacturer organized into three segments: Heavy Fabrications (wind towers, built in Abilene, Texas), Gearing (precision gears and gearboxes for power generation, oil & gas, mining and steel customers, made in Cicero, Illinois and Neville Island, Pennsylvania, with a newly added aerospace-parts qualification), and Industrial Solutions (components for gas turbines and other industrial equipment, made in Sanford, North Carolina). In September 2025 the company sold its Manitowoc, Wisconsin fabrication site for a $8.2 million gain and consolidated that work into Abilene -- a real cash gain, but a one-time event that we have excluded from the ongoing earnings power of the business. The most important fact shaping this analysis is a federal policy change. A tax and budget law enacted in July 2025 shortened the window for wind projects to qualify for the production and investment tax credits that have driven U.S. wind-farm construction (a project must now start construction by July 2026 and be in service by the end of 2027 to qualify), and it ends, after 2027, the manufacturing tax credit Broadwind itself has been collecting on wind components it produces -- a credit worth $13.1 million in 2025 alone, a meaningful share of the company's profit. We expect this to produce a near-term pull-forward of wind tower orders as developers race the deadline (new orders were already up 22% in 2025, with a multi-year supply agreement with a major turbine maker supporting production), followed by a real step-down in wind-related demand and profitability once the credits lapse after 2027. We have built all three cases around this timeline rather than assuming either a permanent boom or a return to the credit-supported past. Owner earnings -- cash generated by the business after real costs, including stock-based pay and the equipment spending needed just to keep the business where it is -- have swung widely over the last several years, from a loss during the 2022 downturn to a strong 2023, before falling to essentially breakeven in 2025. Some of that 2025 weakness was temporary (inefficiencies from winding down the now-sold Manitowoc plant), but some was real: the Gearing segment posted an operating loss in 2025 as lower shipment volumes left it with unabsorbed costs. Encouragingly, Gearing's incoming orders actually grew 52% in 2025, led by a major gas-turbine manufacturer and oil & gas customers, which is why we expect only a partial, not permanent, drag from this segment going forward. Recognizing that last year's results were unusually weak, our base case starts next year's earnings only modestly above that depressed level, builds through 2027 as the pre-deadline wind order wave plays out, and then steps back down once the wind tax credits end, settling at a lower, steadier level supported by the Gearing and Industrial Solutions businesses. The bear case assumes the post-2027 wind falloff is severe and the Gearing weakness proves more lasting, given that Broadwind's five largest customers already make up 80% of revenue -- a concentration that leaves little room for one of them to pull back. The bull case assumes the current order recovery continues, the new aerospace-gearing qualification and growing gas-turbine-aftermarket demand (Industrial Solutions orders were up 79% in 2025) continue to diversify the business away from wind-credit dependence. Based on this, we estimate the shares are worth roughly $0.32 in the bear case, $1.65 in a base case, and $2.60 if the diversification and order recovery go well. Given the size of the policy risk, the customer concentration, and the company's small size, the margin-of-safety price is set meaningfully below our base-case estimate -- around $0.80 a share -- to leave room for the bear case to still be roughly right. We were not able to fully reconcile every minor line in two of the historical years' cash flow statements (gaps of roughly 5-7%, likely small classification differences), which we note for completeness though it did not change our conclusions.
