Business condition attached to the margin of safety A full year of positive owner earnings (operating cash flow after working-capital swings, stock compensation and maintenance capital spending) on the current, reduced debt and preferred stock, and the Base Electron power-plant work shown to earn an operating margin well above the roughly 2% to 3% incremental margin visible in the first half of 2026.
Babcock & Wilcox designs, builds and services boilers, emissions and environmental equipment and related parts for power plants and industry. About 71% of 2025 revenue came from the United States and about 15% from Canada. In 2025 it sold its Diamond Power business to Andritz (base price $177 million, closed July 31, 2025), so recent results reflect the remaining operations. What the business has actually produced. We measure what is left for shareholders each year: operating cash flow, minus swings in working capital, minus stock-based pay, minus the maintenance share of capital spending. On that basis the company has been negative in every year from 2019 through 2025, from about -$0.57 to -$2.13 per share. Over 2021-2025 the median is about -$59 million a year (2025 was about -$73 million, 2024 about -$52 million). We start in 2021 because 2019-2020 were dominated by the restructuring of that period. The 2025 cash-flow figures include the operations sold during the year. Preferred stock dividends ($14.9 million paid in 2025) come on top of this, ahead of common shareholders. What has changed. On February 26, 2026 the company signed a definitive agreement with Base Electron, backed by Applied Digital, to design and install four 300-megawatt natural gas-fired power plants for an AI data center, for up to $2.4 billion. Of that, $2.0 billion is a variable fee based on time and materials and subject to change orders, and work is authorized in stages. Applied Digital also received warrants for up to 7.86 million shares, now fully vested. Revenue in the first half of 2026 was $534 million versus $287 million a year earlier. The important question is margin, and the filings do not disclose one for this project. What they show is that the extra $247 million of first-half revenue produced only about $4.9 million more operating income (about 2%), and the second quarter alone about 2.6%. The company also cites a skilled-labor shortage that has pressured margins on some projects. We therefore credit the contract at 2.5%, worth about $60 million of profit in total over roughly 2026-2029, or about $52 million today. We do not credit any higher margin, follow-on orders or aftermarket work on these plants, because none is contracted or demonstrated. Cash flow is not yet improving. Operating cash flow for the first half of 2026 was about +$0.4 million, but after $14.8 million of stock-based pay and $13.7 million of capital spending that is still about -$28 million for six months, before working-capital effects. That supports the earlier level rather than a break. The 2025 annual report also discloses that internal controls over financial reporting were not effective. The 2024 accounts carried a going-concern warning; the 2025 report says that doubt no longer exists after debt repayment, equity raises and asset sales. The three cases (about 155 million diluted shares, 6% discount rate, 10 years, nothing credited after year 10 because nothing evidenced continues). Bear: nothing improves. The company keeps running at the 2021-2025 median of about -$59 million a year, and Base Electron work earns nothing over cost. Value about -$2.80 per share. Base: cash burn is smaller at about -$45 million a year, because 2025 operating income from continuing operations turned positive ($20.7 million versus a $6.3 million loss in 2024) and 2025 debt repayments lowered interest, partly offset by the preferred dividends. Base Electron earns the 2.5% margin shown so far. Value about -$1.80 per share. Trailing owner earnings actually worsened in 2025 (about -$73 million from about -$52 million), so this rests on those two dated items and is not a trend extrapolation. Bull: cash burn narrows to about -$30 million a year, which is what 2025 continuing operating income (after interest, pension funding, cash taxes of $8.7 million, capital spending and preferred dividends) roughly supports, and Base Electron earns 5%, double the margin seen so far. Value about -$0.75 per share. What this means. On the earning power the filings can evidence, the common shares appear to be worth less than nothing: the company appears to owe more, through its interest, pension, preferred dividend and cash costs, than the business currently earns. Even a 10% margin on Base Electron would add only about $1.00 per share. For reference only, the company held $308.6 million of unrestricted cash at June 30, 2026 (up from $89.5 million at year-end 2025 after about $260 million of equity raised in the first half) against $81.5 million of customer prepayments. Counting that net cash of about $227 million would move the cases to roughly -$1.15, -$0.33 and +$0.71 per share, still no better than break-even at the middle. We do not count it in the valuation, because it is largely earmarked to fund the project and to absorb the burn described above. What would prove us wrong: Base Electron work earning well above 5% operating margin, or the rest of the business producing positive operating cash flow after interest and preferred dividends. Neither is yet visible in the filings.
