Business condition attached to the margin of safety The warehouse network shows positive gross profit and non-negative owner cash flow (operating cash flow after working-capital swings, lease timing and maintenance capex) for at least three consecutive quarters, with cash on hand covering the next twelve months of lease payments without new share sales.
Armlogi runs ten leased warehouses in the United States (Southern California, Georgia and Texas, about 3.9 million square feet in total) that store, pack and ship goods for cross-border e-commerce merchants, and it also handles customs brokerage and trucking into those warehouses. Roughly 84% of fiscal 2025 revenue (year ended June 2025) came from merchants based in China who sell into the U.S. through Amazon and eBay, down from 96% a year earlier. The company has no operations, employees or assets in China; the concentration is a customer risk (tariffs, platform crackdowns on Chinese sellers, Chinese currency controls), not a location risk. Several leases, including the Walnut headquarters warehouse and one in City of Industry, are with a company owned by a former chief executive of the operating subsidiary. What happened to the economics. In fiscal 2023 and 2024 the company earned real profits (net income of $13.9 million and $7.4 million) on revenue of $135 million and $167 million. Then it took on a large amount of new warehouse space (about $82 million of new lease obligations in fiscal 2024 and $28 million more in fiscal 2025, including the 734,000 square foot Rincon, Georgia site through 2034). Fiscal 2025 revenue rose 14% to $190 million, but the company swung to a $15.3 million net loss. In the first nine months of fiscal 2026 revenue was $142.7 million, up only about 2%, the warehouses still cost more to run than the revenue they bring in (a gross loss of about $5.1 million), net loss was $15.4 million, and cash from operations was negative $5.5 million. Cash fell from $9.2 million at June 2025 to $2.7 million at March 31, 2026, with another $4.4 million of restricted cash held separately. Lease payments are the heart of the issue: operating lease obligations stand at about $128 million with roughly $171 million of minimum payments running to 2034, and they cannot be shed without landlord agreement. How we measured earnings. We start from cash from operations, remove the swings in receivables, payables and customer prepayments, and also remove the non-cash lease line (about $7.5 million in fiscal 2025) because it reflects rent being paid later than it is expensed, a timing difference that reverses. We deduct capital spending needed to keep the sites running; no stock compensation is reported. On that basis owner earnings per share were about $0.36 in fiscal 2023, $0.14 in fiscal 2024 and negative $0.34 in fiscal 2025. Fiscal 2025's reported operating cash flow of $1.5 million looked better than the loss only because collections of receivables and payables timing added about $5.9 million; stripping that out shows the underlying burn. The first nine months of fiscal 2026 run at roughly negative $0.39 per share on an annualized basis, so the fiscal 2025 level has not improved. We measure the business only from the lease expansion onward, since the fiscal 2023 and 2024 profits came from a much smaller cost base. Debt. The company has little borrowing: about $1.5 million of finance leases. A convertible note facility drawn in fiscal 2025 (about $5.8 million still owed at June 2025, with a standby equity agreement running to November 2026) appears to have been settled in cash and shares by March 2026. Cash plus loans receivable of $1.7 million, less finance leases, is about $2.9 million, or roughly $0.06 per share. Interest cost is small, so the business's cash flow before lenders is essentially the same as owner earnings. The important obligation is the lease stream, which is already charged inside owner earnings. Bear case: worth $0 per share. Owner earnings stay near negative $0.39 per share (about $17 million a year). Cash on hand of $2.7 million plus collectible loans cover well under two quarters of that burn, and the equity line ends in November 2026. Without a turn, the company would have to renegotiate or exit leases or dilute shareholders heavily, and on the numbers the business is worth less than nothing on a cash-flow basis, meaning it appears to owe its landlords more in future rent than it can earn. Common stock cannot be worth less than zero, so we record zero. The business is worth well below $0, it owes about $1.5 million of finance leases against $4.4 million of cash and loans, and the difference is about zero for shareholders. Base case: worth $0 per share. We credit no improvement because nothing named and evidenced supports one: gross loss was steady across the three fiscal 2026 quarters reported (the March quarter's gross loss was $1.9 million), revenue growth slowed from 14% to about 2%, and there is no contract, backlog or pricing action in the filings that fills the new warehouses. The company also has not shown a lever that reduces lease costs. Continued burn of roughly $17 million a year, funded by selling new shares, leaves current holders with nothing of value from the operating business. The business is worth less than zero on a cash-flow basis, the company owes about $1.5 million in finance leases against $4.4 million of cash and loans, and the value to common is about zero. Bull case: worth about $0.45 per share. The company's own identified lever works: the warehouses it has already leased fill up and margins move back toward what it earned in fiscal 2023 and 2024. Owner earnings improve from negative $0.30 in year 1 to negative $0.10, then turn positive at $0.05, $0.15 and $0.20 per share, holding at $0.20 until the main leases end around 2034, with nothing assumed after that because no lease renewals are secured. That stream is worth about $0.46 per share, plus about $0.06 of net cash, or roughly $0.52 before the dilution needed to fund the early losses, so we record $0.45. We treat this as a 90th percentile outcome rather than the expected one because it requires customer demand that revenue trends do not currently show. What would make this wrong. To the upside, a large signed contract or an early rent reduction that removes the gross loss would move the base case up quickly. To the downside, a Chinese seller crackdown or higher tariffs would further shrink volumes; 84% of revenue depends on it. We could not reconcile the March 2026 quarter's full note disclosures because only summary financial data was available for that period, so figures for it are drawn from the reported statements and should be read as approximate. Margin-of-safety price. Because the base and bear cases are worth about zero, no margin-of-safety price applies on today's evidence. The margin-of-safety price of about $0.25 per share applies only after the business shows three straight quarters of positive gross profit and non-negative owner cash flow with enough cash to cover twelve months of lease payments; that level allows a large margin for a very small, lease-heavy company and sits well below the bull case value.

Chart analysis
A chartist would see a very young stock: it listed on Nasdaq in 2024, so there is only about two years of trading history and no long base, no established multi-year support or resistance, and no clear long-term trend to lean on. Thinly seasoned small-cap shares of this kind tend to trade on news and financing events, and a company that funds itself by issuing shares to an investor under a standby equity agreement typically shows persistent supply overhead, which chart readers treat as a headwind until volume dries up and the price builds a higher-low base. Without reliable price data on hand, no specific levels are cited; the practical read is to wait for a confirmed base and a break above prior swing highs on rising volume before treating any bounce as a trend change.
