BrightSpire Capital lends against commercial real estate. At December 31, 2025 it held about $2.68 billion of loans, mostly floating-rate first mortgages: 67% backed by multifamily buildings, 24% by offices, 8% by mixed-use projects and 1% by industrial. It also owns about $680 million of real estate, some of it net leased and some taken over from borrowers who could not repay. It funds itself with about $2.47 billion of debt (securitization bonds, mortgages and bank credit lines) against $938 million of shareholder equity, or $7.30 of book value per share. What we measure. We count the cash the business generates from operations, remove one-off swings in working capital, subtract stock compensation as a real cost, and subtract capital spending on its properties. On that basis owner earnings per share were $0.94 in 2023, $0.67 in 2024 and $0.41 in 2025. Earlier years are not comparable: in 2021 the company was still selling off legacy real estate ($332 million of sale proceeds, and owner earnings were negative that year), and 2019 and 2020 described a different and larger legacy business. Growth in 2025 was minus 38% (from $0.67 to $0.41). The first half of 2026 ran at about $0.26 per share before property capital spending, or about $0.51 annualized, close to the second half of 2025 ($0.28), so the decline appears to have levelled off rather than reversed. We use a starting level of $0.45, which is the 2025 result adjusted for that first-half pace and a more typical level of property spending. The 2022 to 2023 years ($0.93 and $0.94) are not used because they came from a bigger loan book earning far higher interest (interest income was $299 million in 2023 versus $195 million in 2025), conditions that have reversed. The important accounting judgement. Operating cash flow adds back credit-loss provisions and real estate write-downs, because they are not cash. But for a lender they are the real cost of doing business. The company recorded loan loss provisions plus real estate impairments of about $116 million in 2023, $190 million in 2024 and $86 million in 2025, and it reported net losses in six of the seven years from 2019 through 2025, leaving an accumulated deficit of $1.93 billion. We do not reduce the starting level for this, because that would charge the same loss twice. Instead we build it into the pace at which earnings shrink in each case. Base case. Owner earnings start at $0.45 per share and then decline 5% a year, because credit losses and problem real estate keep eroding the capital base. 2025 losses excluding the one-time deconsolidation of two office properties were roughly $30 million, about 3% of equity, and the company still owns problem real estate, so 5% is a middle path. We credit no growth: cash lent on new loans was $769 million in 2025 but only $114 million in 2024 and $77 million in 2023, so there is no steady pace to rely on, and new loans are funded largely with borrowed money. The decline continues after year 10 because nothing we can point to stops it. Value: about $4.10 per share. This is below book value because the earnings the business produces do not justify its stated equity after years of losses. Bear case. Owner earnings start at $0.35 and fall 12% a year, roughly the pace of losses in 2023 to 2025 (about $130 million a year on average, or roughly 14% of current equity). What could drive this is visible in the filings: $634 million of office loans, five loans rated at the highest risk level with $154 million of carrying value at year end, and property operating expense that doubled to $66 million in 2025 from $34 million in 2024 while it owns real estate taken from borrowers. Leverage magnifies this, since debt is about 2.6 times equity. Value: about $1.90 per share. Bull case. Owner earnings start at $0.50 and decline only 2% a year. This assumes that the problem loans are resolved as management describes. Three risk-5 loans totaling $86.8 million were resolved after year end, the general loan-loss reserve is 3.15% of commitments, and 92% of loans by carrying value carry the middle risk rating. A $955 million securitization closed in February 2026 at Term SOFR plus 1.69% on a non-recourse basis that is not marked to market. Value: about $6.20 per share, still below book value. What would make this wrong. If losses stay well below 2025 levels and the owned real estate is sold at or near book value, the stream would decline more slowly than assumed and value would move toward the bull case. If commercial real estate values fall further, or office loans default in size, value moves toward the bear case. Note that dividends ($0.64 per share declared in 2025) exceeded owner earnings ($0.41), so part of the payout is a return of capital. Margin-of-safety price. The margin-of-safety price is about $2.50 per share, which is a discount of roughly 39% to the base case and above the bear case. A leveraged lender that has repeatedly destroyed capital warrants a wide margin of safety. Owner earnings reconciliation for 2025 ties exactly: net loss plus non-cash charges of $121.9 million gives $83.1 million before working capital, and working capital consumed $10.1 million, giving operating cash flow of $73.0 million.
