Broadstone Net Lease owns 771 properties (about 41.6 million square feet) leased to 206 tenants under long-term net leases, meaning tenants pay the taxes, insurance and upkeep. Industrial buildings (distribution, manufacturing, food processing) produce 61.9% of rent, retail 30.1% and office and clinical space 8.0%. At the end of 2025 the portfolio was 99.8% leased with 9.6 years of average remaining lease term, and 97.6% of leases carry annual rent increases averaging 2.1%. No tenant exceeds 3.9% of rent (Roskam Baking; United Natural Foods is 3.4%), but restaurants (13.0%) and packaged foods (13.3%) are meaningful concentrations. Earnings base. We measure owner earnings as operating cash flow less working-capital swings, stock compensation and the capital spending needed to keep the existing buildings leased. Property purchases and build-to-suit construction are treated as growth investment, not upkeep. Depreciation and property write-downs are non-cash and are added back, so the wear on the buildings and losses from failed tenants are carried in the cases below instead. On this basis owner earnings per diluted share were $1.12 in 2016 and $1.25 in 2025, moving between $1.17 and $1.43 over the last six years. Despite large acquisitions, per-share earning power has barely grown: nearly all cash is paid out as dividends ($228.8 million in 2025 against $247.6 million of owner earnings), so growth has relied on new shares and debt. We anchor on $1.25, the median of 2021-2025, the first full years after the company brought its management in-house in 2020. Near term. 2025 owner earnings fell 3.0% per share, yet our base case starts 2026 at $1.31. The reason is dated and already paid for: at year-end the company had $345 million of build-to-suit projects under construction with 10- to 15-year leases (including Southwire in Bremen, Georgia; Fiat Chrysler in Forsyth, Georgia; Sierra Nevada in Dayton, Ohio; AGCO in Visalia, California; and Sprouts, Hobby Lobby and Academy Sports stores in Texas), scheduled to be completed between March and November 2026 at an estimated 7.4% cash yield. The first half of 2026 supports this: operating cash flow before working-capital swings and stock pay rose about 8% (6.6% per share), and property write-downs fell to $3.5 million from $28.1 million a year earlier. Base case ($20.05). Earnings reach about $1.34 in 2027 as all projects contribute for a full year, then hold flat: contractual rent increases are offset by the tenant losses and re-leasing gaps the record shows (write-downs of $31 million in 2023, $49 million in 2024 and $40 million in 2025), and by higher interest costs. More than $500 million of interest-rate swaps fixed at roughly 2.0%-2.6% expire between late 2027 and August 2029, against new swaps set in 2025 at about 3.7%, and the $375 million of 2.60% notes due 2031 would likely refinance near the 5.000% the company paid on its 2025 notes. Together these cost about 8 cents a share a year. Earnings then stay flat in dollars (a slow decline after inflation, as buildings age) for 40 years and fade out by year 60. No acquisition growth is credited, because it depends on raising outside capital. Bear case ($12.88). Tenant losses continue at the 2023-2025 pace and part of the 29.7% of rent expiring in 2026-2030 (11.3% in 2030 alone) is re-let with downtime or at lower rents, so earnings decline by roughly 1% to 1.5% a year to about $1.04 by 2035, then fade out over the following 25 years as the portfolio ages with little cash retained to renew it. Debt of $2.52 billion at year-end 2025 ($2.69 billion by June 2026), roughly $13 a share, is what makes this case bite: shrinking rent is spread over a fixed debt load. Bull case ($22.69). Projects finish on schedule, earnings reach $1.38 in 2027, and rent increases outrun tenant losses so per-share earnings grow about 1.2% a year, their 2016-2025 pace, with the same refinancing costs, then hold flat in dollars until year 50 before fading. Margin-of-safety price. This is a steady, contracted rent stream, but it carries meaningful debt and tenant-credit risk in restaurants and food producers. The margin-of-safety price is $13.50, close to the bear case. The main risks to this view are a failure among the larger industrial tenants or refinancing costs well above those described.
