Bridgeline Digital, Inc. (BLIN) stock intrinsic value fair value estimate & owner earnings analysis

Margin of safety$0.00 ComplexityAverage Updated
Business condition attached to the margin of safety Owner earnings (cash from operations after stock compensation and capex) durably positive over several consecutive years.
Bridgeline Digital (Woburn, Massachusetts) sells subscription software and services that help mid-sized companies run websites, e-commerce and marketing. Its products include HawkSearch (site search), Woven and OrchestraCMS. Revenue was $15.4 million in fiscal 2025 (year ended September 30). That is essentially flat versus $15.4 million in 2024. It peaked at $16.8 million in 2022, and it was $13.3 million in 2021. About 85% of sales are in the United States, and the rest is international. What the business actually earns. We measure a business by the cash it generates for owners: cash from operations, less the swings in working capital, less stock-based compensation (a real cost, paid in shares instead of cash), less the capital spending needed to stay in business. On that basis Bridgeline has not produced positive owner earnings in any of the seven years we could rebuild (fiscal 2019 to 2025). Per share figures were roughly -$5.85 (2019, a year distorted by very heavy losses and a tiny share count after a reverse split), -$0.20, -$0.14, -$0.07, -$0.10, -$0.10 and -$0.16 (2025). In fiscal 2025, cash from operations was -$1.10 million, stock compensation was $0.58 million, and capital spending was only $18 thousand. Reported net income in some years did not reflect cash earnings. In 2020 it included a roughly $2 million non-cash gain from a forgiven government loan, and in 2022 it included non-cash gains on warrants. In 2023 a large non-cash write-down of acquired goodwill drove a $9.4 million loss. We looked through all of these by starting from cash flow. The acquisition-related amortization ($0.7 million in 2025, down from $1.5 million in 2023) is a non-cash charge already excluded, and the business has a history of writing down acquisitions, which we treat as a warning about past capital allocation. The three cases. Our approach credits only growth and profits that are already secured or that come from a long-proven, repeatable process. Nothing in the filings meets that bar for positive owner earnings here. Revenue has moved sideways for four years, and cash losses after stock compensation have run at $0.7 million to $1.8 million a year. A business that consumes cash after paying its people partly in stock has no evidenced stream of earnings to discount. In all three cases the value we can defend is $0.00 per share. In the bear case, the company has about $1.6 million of cash at September 30, 2025 against annual cash use of roughly $1 million to $1.8 million (before stock compensation), and existing shareholders are repeatedly diluted, as in fiscal 2025, when 1.5 million shares were sold for $2.0 million. Debt is small ($326 thousand, including a seller note maturing October 2026), so we do not see liabilities exceeding the business. In the base case, revenue stays near $15 million and owner earnings stay negative, as in every year from fiscal 2020 through 2025. In the bull case, the recent improvement continues: in the first nine months of fiscal 2026, operating cash flow was +$76 thousand versus -$759 thousand a year earlier, and stock compensation fell to $329 thousand from $488 thousand. Even so, after stock compensation and capex ($40 thousand), the nine-month owner earnings remain negative. A bull case that requires profits to appear is a hope rather than an evidenced driver, so it is also $0.00 per share. What would make this wrong. If cash generation keeps improving and the company reaches positive owner earnings after stock compensation for a few years running, it would deserve a real valuation. Recurring revenue and low capital needs (capex under $0.2 million a year) mean a modest sustained profit could be worth something, but we cannot credit it before it exists. We would also revisit if the company cut stock compensation while holding revenue, since that is the largest gap between its cash flow and true owner earnings. Listing note. The company must keep its Nasdaq share price above $1.00 (the stock ranged from $1.05 to $2.80 during fiscal 2025), and its filing notes a reverse split as a possible remedy. This does not change our valuation.
