BlackLine sells cloud software that automates finance and accounting work such as the month-end close, cash application and collections. It works alongside the ERP systems of Workday, SAP, Oracle and Microsoft. Revenue is almost entirely subscriptions ($662.9M of $700.4M in 2025). Revenue grew 7% in 2025 (after 11% in 2024 and 13% in 2023), and existing customers spent 105% of the prior year's amount (102% in 2024, 106% in 2023). The customer count was flat at about 4,400 (4,394 at year-end 2025 versus 4,443 a year earlier), so growth comes mainly from selling more to existing customers, not from adding many new ones. What we count as earnings. We measure what the business produces for shareholders as cash from operations, less the cash effect of working-capital swings (such as customers prepaying for subscriptions), less stock-based compensation, less the capital spending needed to stand still. Stock compensation is a real cost here: $92.6M in 2025, about 13% of revenue. Counting it, per-share earnings were $0.27 in 2023, $0.83 in 2024 and $0.74 in 2025 (about $48.9M in 2025 on roughly 65.9M diluted shares). In every year from 2016 through 2022 the figure was negative, because stock compensation exceeded cash from operations. We therefore value the business from 2023, the first year of a profitable, restructured company, and use the median of 2023 to 2025, $0.74 per share. Capital spending is mostly capitalized software development ($26.6M in 2025) plus $8.1M of equipment. About $2.2M of it is treated as growth spending and left out, and the rest is treated as maintenance. One caution on quality. Part of 2024 and 2025 cash flow is interest earned on the cash raised from convertible notes: interest income was $49.8M in 2024 and $32.8M in 2025, part of which is non-cash accretion that is already excluded from cash flow. This income is falling as cash is used, and about $230.2M of 0.00% convertible notes come due in 2026. Also outstanding are $675.0M of 1.00% notes due in 2029. Cash from operations after stock compensation and capital spending in the first half of 2026 was about $21.0M versus about $14.8M a year earlier (before working-capital adjustments), on revenue up 9.4%, but stock compensation grew 18% over the same period. Base case: $13.2 per share. We start at $0.74 and assume no growth in the first year, because the trailing year fell (per-share earnings were down about 11% from 2024, and aggregate earnings about 20%). We do not assume a further decline because first-half 2026 cash generation, described above, was higher than a year earlier. We then credit 4% a year for nine years. That is below the 102% to 106% net retention of existing customers over the last three years, and it counts no new-customer growth. We then assume earnings of about $1.05 per share persist for a further 20 years, based on the mission-critical nature of the close process and the subscription contracts, and nothing after that. We left out margin expansion, new products such as the AI agents from the December 2025 acquisition of WiseLayer, and share gains, because none has yet shown up in earnings. Bear case: $5.3 per share. Roughly $0.19 per share of current earnings (about $12M a year) is lost through lower interest income as cash goes to retiring the 2026 notes and repurchases, and possible disruption in the SAP resale channel. SAP is a reseller that accounts for a material portion of revenue, and BlackLine's filing says the relationship is at risk if it is not maintained. Earnings settle at $0.55 per share with no growth for ten years and then fade to zero over the following ten. Stock compensation, which has risen every year, keeps absorbing any gain. Bull case: $19.0 per share. Earnings grow 7% a year for ten years, matching 2025 revenue growth and 105% customer retention, with stock compensation held at its current share of revenue. They then persist at about $1.46 per share for a further 30 years. This assumes no margin expansion. What would make this wrong: a loss of the SAP relationship or a fall in existing-customer spending below 100% would push results toward the bear case. Higher stock compensation than assumed, or shares issued if convertible notes are settled in stock, would reduce per-share value. The 2029 notes are a fixed claim ahead of shareholders, and we did not subtract debt from the value, because the earnings figure is already after cash interest paid. An accounting note: the interest earned on the note proceeds is included in cash flow, so roughly $0.3 per share of the $0.74 is estimated to be interest on cash, not software operations. We did not adjust it because the cash is owned by shareholders, but the bear case reflects its decline.
