Business condition attached to the margin of safety Revenue and operating cash flow return to profitability for at least two consecutive quarters after the first-half 2026 decline, and the separation from the related-party supplier is completed on arm's-length terms.
BioScience Health Innovations sells health and wellness products (supplements, peptide and NAD+ formulations) through its subsidiary Best 365 Labs, online and through wholesale partners. Its shares trade over the counter and the company is very small: fiscal 2025 revenue was $5.7 million. What the numbers show. The company only began operating in its current form after a 2023 share exchange. Revenue rose from $0.6 million in 2023 to $1.8 million in 2024 and $5.7 million in 2025, and net income rose from a loss of $252,000 to $87,000 and then $642,000. We measure earnings power as cash from operations, less the cash absorbed by growing receivables and inventory, less stock compensation (none was reported), less the part of patent spending needed to maintain the business rather than expand it. On that basis owner earnings were about $(0.03) per share in 2023, $0.006 in 2024 and $0.049 in 2025. Most of the 2025 profit was tied up in receivables ($299,000 increase) and inventory ($278,000 increase), which is why reported operating cash flow was only $172,000. Share counts are restated for the 1-for-4 reverse split. Why we do not simply extrapolate 2025. Only two profitable years exist, the second one more than seven times the first, so 2025 is not yet a proven level. The first half of 2026 then went the other way: revenue was $1.79 million against $2.98 million a year earlier, the company lost $416,000, and operating cash flow was negative $1.09 million as inventory grew by $457,000. Two consecutive quarterly losses ($230,000 and $186,000) mean the 2025 earnings level cannot be assumed to still hold. The company is also separating from Ageless Holdings, a company controlled by its chief executive that had served as its supply chain and compounding partner, and the settlement terms were still being finalized at the time of the annual filing. The filing does not quantify how much of the sales decline relates to this, and we have not assumed a reason. Base case: about $0.11 per share. We assume the business earns a modest $0.015 per share a year (roughly $170,000 of owner earnings), between the weak first half of 2026 and the 2024 to 2025 average of about $0.027, for ten years and nothing after, because no contract, license or long record supports earnings beyond that. Year one is set below the 2025 result, not above it, since the most recent quarters point down. Growth is not credited: the planned uplisting, the Regulation A capital raise, the oral GLP-1 delivery system, more than 30 unlaunched formulations and the February 2026 federal reclassification of certain peptides are plans or pending events, not secured revenue. Bear case: about $0.00 per share. Losses continue at the first-half 2026 pace with sales not recovering. The company had $662,000 of cash at the end of 2025 and burned more than that in six months of 2026, so it would depend on related-party advances or new share sales, which dilute existing holders. Nothing nameable remains to support value. Bull case: about $0.36 per share. Owner earnings return to the 2025 level of $0.049 per share and stay there for ten years with no further growth, which is what the current record of operating profit supports if the first-half 2026 decline proves temporary. What could make this wrong. Upside: the 2025 revenue jump came from wholesale relationships and direct online sales, and if those repeat and the company scales, earnings could be well above our figures. Downside: 2026 losses could persist, and related-party dealings (the company reports it lacks formal approval policies for them) leave room for surprises. Patent applications covering the MODS Max delivery process are pending, not granted, so no protection is assumed. Shares are thinly capitalized and any equity raise would dilute the per-share figures above.
