Bright Horizons runs employer-sponsored child care. In 2025 about 71% of revenue ($2.08B) came from full-service child care centers, 25% ($728M) from back-up care (emergency child and adult care for employees) and 4% ($125M) from educational advisory services such as College Coach. At year-end it operated 597 centers in North America and 413 in the United Kingdom, the Netherlands and Australia. Center contracts with employers typically run 3 to 10 years, and back-up care contracts about 3 years. Employers often subsidise operating costs, which is why the business needs relatively little capital. How we measured earnings: we start from operating cash flow, remove the swing from working capital (mostly deferred tuition and receivables), subtract stock compensation as a real cost, and subtract only the maintenance share of capital spending (about 4.3% of revenue on average across ten years, with the growth share stripped out). Per share this gives roughly $1.89 (2016), $2.39, $2.91, $2.91, $1.19 (2020, pandemic closures), $2.37, $2.42, $2.55, $3.14 and $4.41 (2025). We anchor on the median of 2022 to 2025, about $2.85 per share. Earlier years describe a business before the pandemic reset, 2020 was distorted by closures, and 2021 was a reopening year. We did not anchor on the 2025 figure of $4.41: it rose 40% in a year partly because working capital moved against the company in 2025 (about $15M outflow versus a $34M inflow in 2024), and cash flow in the first half of 2026 ($203M) was below the first half of 2025 ($220M). Year one of our base case assumes only 3% growth, below last year's 40%, because nothing in the filings shows that jump repeating. Amortisation of acquired intangibles is a modest part of the $93M depreciation and amortisation, and we did not adjust earnings for it. Base case, about $49 per share: owner earnings of $2.85 grow 3% a year for ten years, the pace at which tuition pricing has been passed through while net enrollment grew only 1% in 2025 (revenue grew 6% in the child care segment), reaching about $3.83; we then credit a further 20 years at that level, because multi-year employer contracts and a two-decade record of renewals are a structural feature already in evidence, and nothing after that. We give no credit for share gains, new markets, margin expansion or buybacks. Bear case, about $24: owner earnings stay near the $2.20 level seen in 2021 to 2023 with no growth, reflecting a tight labor market and rising centre operating costs the company itself discloses, and roughly $950M of debt (a $450M term loan B due 2032 and about $497M drawn on the revolver) that absorbs cash and leaves less room if a downturn cuts enrollment or employer subsidies. The plateau runs 10 years after year ten, then stops. Bull case, about $72: the 2025 level of profitability is largely sustained (about $3.90 per share) and grows 4% a year for ten years on pricing and modest center additions funded by employer partners, then holds for 20 years. This requires no new product, only that current employer contracts keep renewing on present terms. What would make this wrong: if 2025's higher cash generation proves to be the true run rate, our base is too low; if labor costs outrun tuition increases or large employers reduce sponsorship, the bear case is closer. The margin-of-safety price sits well below the base case because the bear case is about half of it: from a price near $30, the bear case still offers some protection and the base case implies a strong return. Our working-capital treatment relies on the cash-flow statement as presented; leases and deferred revenue lines moved sharply between years and we did not separately test their permanence.
