Becton, Dickinson and Company (BD) makes the everyday tools of hospital care: syringes, needles, IV catheters, blood-collection products, infusion pumps (BD Alaris), medication-dispensing systems (Pyxis) and, since the 2017 Bard acquisition, products for vascular access, urology and surgery. Most revenue is consumables used up inside hospitals and reordered, which is what makes the cash flow durable. What changed since our last analysis. In February 2026 BD completed the separation of its Biosciences and Diagnostic Solutions business, which was combined with Waters Corporation. BD shareholders received shares of the combined company (about 39% of it), and BD received cash (the FY2025 annual report expected roughly $4 billion). The June 30, 2026 quarterly figures show the effect: borrowings are $16.8 billion versus $19.2 billion at September 2025, and about 272 million shares are outstanding versus a fiscal 2025 average of about 289 million, after $2.7 billion of debt repayments and $2.25 billion of share buybacks in the first nine months of fiscal 2026. We now value only the business BD still owns, on today's share count and today's debt. Our earlier work valued the whole pre-separation company on a simpler earnings measure, so the cases moved: base $154 (was $166), bull $202 (was $273), bear $96 (was $93). How we measure earnings. Owner earnings are operating cash flow, less swings in working capital, less stock-based compensation (a real cost), less the part of capital spending needed just to keep the business running (spending to grow is set aside). BD's lenders are paid before shareholders, so we value the cash the business produces before interest (adding back cash interest paid, $628 million in fiscal 2025) and then subtract net debt. Amortization of acquired intangibles (about $1.5 billion a year) is a non-cash charge and is added back, as it should be, because it is a sunk purchase cost; the risk that acquired franchises fade is handled in the growth path and the bear case rather than by cutting the earnings level. Starting level. BD has not published a full-year recast excluding the separated business, so we estimated it. That business produced about $498 million of operating cash flow in the first nine months of fiscal 2025 out of about $2.1 billion in total; after its own capital spending and stock compensation we estimate it was roughly 13% of BD's pre-interest owner cash flow, which is an approximation and could be off by a few points. On that basis the continuing business generated about $2.7 billion in fiscal 2024 and $3.4 billion in fiscal 2025 before interest. We use the midpoint, about $3.05 billion or roughly $11.2 per share on 273 million shares. We look only at fiscal 2024 and 2025 because fiscal 2023 was distorted (Alaris pumps were off the US market until FDA clearance in July 2023, and BD booked $653 million of product remediation charges), and earlier years pre-date the 2022 Embecta spin-off. The first nine months of fiscal 2026 support this level rather than contradict it: continuing-business owner earnings after interest were about $2.10 billion versus $1.94 billion a year earlier (up 8%) on revenue of $14.18 billion versus $13.54 billion (up 4.8%). We did not raise the starting level on that evidence. Reported owner earnings per share rose 27% in fiscal 2025 ($11.42 versus $9.00); our base case assumes only 2% growth in year one, below that rate, so no reversal of a slowdown is being assumed. Growth credited. Base credits 2.0% a year easing to 0.5% by year 10, then flat. The evidence is a hospital consumables and installed-base franchise whose revenue has grown in nearly every year (the exception was fiscal 2022, down 1.4%) and rose 4.8% in the latest nine months; we credit less than that pace and let it fade because the acquired technology and customer relationships amortize over roughly the next five to six years and BD must keep replacing them through its roughly $1.2 billion a year of research spending, which is already charged in owner earnings. After year 10 we hold the level flat rather than growing it. Left out: margin expansion, new-product launches, share gains, tariff relief, and any assumption that today's buyback pace continues. The three cases. - Base: starts at $3.05 billion, grows as above. The business is worth about $56.4 billion ($206.7 per share). It owes net debt of $14.5 billion ($53.1 per share). The difference is $41.9 billion, or $153.6 per share. - Bull: starts at the fiscal 2025 level of $3.4 billion (already achieved and backed by nine months of fiscal 2026), grows 3.5% easing to 1.5% by year 10 (close to the 4-5% the business has been delivering), then flat. Worth about $69.7 billion ($255.3 per share), less the same $14.5 billion debt, leaves $55.2 billion, or $202.2 per share. - Bear: starts at $2.65 billion, no growth for three years as the wave of Alaris pump replacements that the annual report says should be substantially complete in calendar 2026 rolls off, then a 1% annual erosion for seven years as acquired franchises age, then flat. In addition we deduct $1.2 billion after tax for further product-liability settlements beyond what is already reserved. Worth about $42.0 billion ($154.0 per share), less $14.5 billion of debt and the $1.2 billion, leaves $26.3 billion, or $96.5 per share. Even here pre-interest cash flow of about $2.65 billion covers annual interest of roughly $0.6 billion more than four times, so the debt is carried. Debt. Borrowings total $16.8 billion ($13.5 billion long-term and $3.3 billion due within a year, including $1.7 billion of 3.7% notes due June 2027 and about $0.7 billion due December 2026). Based on the fiscal 2025 note list, the average coupon is about 3.5% with roughly eight years left, well below our 6% yardstick, so we reduce the debt figure by about $1.9 billion (we trimmed the raw calculation of roughly $2.2 billion because some notes have since been repaid). We count $0.4 billion of the $0.7 billion of cash as excess, keeping the rest for operations. Net debt is therefore about $14.5 billion. Nothing in the maturity ladder or covenants that we found forces a distressed refinancing. Legal and regulatory. BD operates under an FDA consent decree covering infusion pumps and FDA warning letters, and faces mass-tort claims (about 6,905 hernia-repair device claims plus pelvic mesh and vena cava filter cases). The reserve for these matters was $1.8 billion at September 2025 and $1.6 billion at June 2026, and it has stood between $1.6 and $2.1 billion every year since fiscal 2022. Settlement payments already flow through operating cash flow and therefore through our starting level, so we do not deduct the reserve again in the base or bull cases; the bear case adds the extra $1.2 billion. How we tried to break it. We checked whether the starting level is too high: the first nine months of fiscal 2026 are above it, not below. We checked whether the growth credit is too generous: revenue fell in fiscal 2022, which is why we fade the rate and hold no growth after year 10. We checked whether the legal reserve is double counted: it is not, because payments are already in the historical cash flows. What would make this wrong: a settlement or FDA action materially larger than the bear case assumes, a faster fade of the Alaris replacement benefit, our estimate of the separated business's share of cash flow being materially off, or growth stalling below the rate we credit. We could not reconcile the separated business precisely because BD has not published a full-year recast; the split above is our estimate.

Chart analysis
The filings we rely on do not include a share-price history, so we cannot describe support and resistance levels, trend lines or volume patterns without guessing. What the filings do show is relevant to reading a chart: the quarterly dividend has been steady to rising ($1.04 per share in fiscal 2025 quarters, $1.05 in fiscal 2026), the company bought back about $2.25 billion of stock in the first nine months of fiscal 2026, and the February 2026 separation of the Biosciences and Diagnostic Solutions business (with shares of the combined Waters company going to BD holders) will appear as a one-time step in unadjusted price history. A chartist should use a dividend- and distribution-adjusted series and treat the February 2026 date as a break in the record.
