Business condition attached to the margin of safety The permanent Chicago casino open and positive operating cash flow after stock compensation and after capital spending for at least two consecutive quarters.
Bally's Corporation owns and operates regional casinos across the United States, runs the Bally Bet sports betting and online casino business, and, through the former Gamesys operation acquired in late 2021, online gaming in the United Kingdom and other international markets. Revenue grew from about $524 million in 2019 to about $2.66 billion in 2025, including the late-2021 acquisition of Gamesys. In February 2025 the company completed a merger with Standard General and The Queen Casino & Entertainment, adding four regional properties. Standard General now owns about 67% of the shares. What the cash flows show. We measure value by the cash the business generates for shareholders after working-capital swings, stock compensation and the capital spending needed to keep operating. On that basis the business produced about $1.13 per share in 2022, then turned negative: about minus $2.72 in 2023, minus $1.67 in 2024 and minus $3.37 in 2025. Operating cash flow fell from $271 million in 2022 to $188 million in 2023, $114 million in 2024 and minus $91 million in 2025 (combining the periods before and after the February 2025 merger). In the first half of 2026 operating cash flow was minus $266 million and the net loss was $308 million. Capital spending was heavy throughout, including construction of the permanent Bally's Chicago casino ($312 million in 2023, $200 million in 2024, $184 million in 2025). Part of that construction is being advanced by the landlord Gaming and Leisure Properties, which has committed up to $940 million in exchange for higher rent, and the company received $269.2 million of capital reimbursements in 2025; the higher rent will reduce future cash flow. Stock compensation rose to about $33 million in 2025. Accounting judgements. We treated all capital spending as needed to keep operating except a share tied to revenue growth, which mechanically leaves most Chicago construction counted as a cost. This makes the recent years look worse than an approach that excluded the Chicago project entirely; however, even before capital spending, cash flow after stock compensation fell from about $206 million in 2022 to about $119 million in 2024 and was negative in 2025. We used 2022 to 2025 as the measuring window because the Gamesys acquisition in late 2021 changed the business from a small regional casino operator into a much larger casino and online gaming company; the middle of those four years is about minus $2.20 per share. Large one-time payments around the February 2025 merger depress 2025 but do not change the conclusion, since the following period was also weak. Non-cash charges such as amortization of acquired intangibles, impairments ($249 million in 2024 and $182 million in 2025) and debt-related charges are added back automatically because they are past acquisition costs, but the repeated write-downs of acquired businesses are a warning about the value of past deals. Bear case: $0 per share. Cash generation has been falling for three years, the company is loss-making, and the first half of 2026 was worse than 2025. Without a change, the shares are worth nothing on the cash the business earns today, and losses of this size could eat into equity. This case is stored at $0 rather than a negative figure. Base case: $0 per share. We can name no secured or repeatable source of positive cash flow after capital spending. The permanent Chicago casino is under construction, but the opening date and its returns are not yet demonstrated, and rent to Gaming and Leisure Properties rises as it is funded. New York City and Las Vegas (the former Tropicana site, planned to include an Athletics baseball stadium announced in September 2025) are plans, not earnings. Growth from those projects is therefore left out. The most recent year's cash generation fell versus the year before, so year one assumes no growth. Bull case: about $8 per share. If operations recover to the level of 2022 (about $1.13 per share after all costs, the last year of positive results under the current business), and hold there for ten years with no credit for further growth, the shares are worth about $8. What would have to go right is that the permanent Chicago facility opens and lifts cash flow enough to offset its higher rent, and that the decline seen since 2022 stops. What would make this wrong. If the Chicago casino or the online business turns operating cash flow positive quickly, the shares are worth more than our base case. If losses continue at the first-half 2026 pace, equity could be largely wiped out. We could not fully separate one-time merger costs from ongoing losses in the 2025 cash flow statement. Margin-of-safety price: $2 per share, applicable only once the permanent Chicago casino is open and the company shows positive operating cash flow after stock compensation and capital spending for two straight quarters. Given a base value of zero and a highly uncertain bull case, a very large margin of safety is required.
