Axalta makes and sells coatings: automotive refinish paint and color-matching systems for collision body shops, industrial coatings, and paint for new light and commercial vehicles. It reports two segments, Performance Coatings ($3.3B of 2025 sales) and Mobility Coatings ($1.8B). It has a 150-year history, and body shops pick suppliers mainly on color match accuracy and technical support, which is why this earning stream has been durable. HOW WE MEASURED EARNINGS. Owner earnings are operating cash flow, less swings in receivables, inventories and payables, less stock compensation, less the part of capital spending needed just to stay in business. Two judgements matter. First, we did NOT strip out the yearly outflow for customer incentive payments (up-front payments to secure customer contracts, amortized against sales). It has recurred every year for a decade ($20M-$157M), so it is an operating cost, not timing. Second, large non-cash charges (about $295M of depreciation and amortization in 2025) are added back as sunk acquisition cost, and we do not credit growth on the back of them. On this basis owner earnings were $322M-$443M a year over 2016-2025 (median about $395M), rising from $368M in 2016 to $426M in 2025, about 1.6% a year. Per share the rise is faster because Axalta shrank its share count from 244M to about 214M. We anchor on the ten-year median (~$395M, about $1.84 per current share) because the decade contains the 2020 pandemic dip and the 2022 inventory build, and 2025 looks flattered by lower incentive compensation. Trailing owner-earnings growth per share in 2025 was +7%; we assume 0% in year one because 2025 volumes fell (Performance Coatings volume down 5.8%, North American body-shop activity weak) and first-quarter 2026 sales were slightly lower again. A PENDING MERGER. In November 2025 Axalta agreed an all-stock merger with Akzo Nobel N.V. (0.6539 AkzoNobel shares per Axalta share, outside date May 18, 2027, $150M break fee payable in some cases). Shareholders would therefore end up owning a different security. We value Axalta as a standalone business; the values below do not model the exchange or the combined company. BASE CASE ($28.20 per share). Owner earnings stay at about $395M for ten years, then decline 1% a year. The evidence: a decade of results in a $320M-$440M band, with no trend of erosion, and a durable refinish franchise. Growth credited: none. We left out price increases, market recovery in body-shop volumes and the Akzo synergies because none are secured. The cost-savings program ($90M annualized, about $50M already realized by 2025) is already in reported results; only about $20M more is expected in 2026, which we leave out of the base level. BEAR CASE ($14.90). Debt is $3.2B, and $2.1B of term loans mature in 2029; we assume refinancing costs an extra ~$50M a year in interest. Owner earnings start at the decade's low (~$320M) less that interest, i.e. ~$270M, shrink 2% a year for ten years (continuing the North American volume decline seen in 2025), then 3% a year after that. BULL CASE ($37.90). The savings program finishes ($20M more, on schedule) and Mobility Coatings holds its 2025 margin improvement (adjusted EBITDA margin 18.5% versus 15.3%), taking owner earnings to about $440M, the decade high. They then grow 1.5% a year for ten years, at or below the 1.6% demonstrated long-run rate, and stay flat afterward. WHAT WOULD MAKE THIS WRONG. A sustained fall in collision-repair volumes, loss of contracts with the large body-shop networks, a costly refinancing, or the Akzo merger completing on terms that give a different value than standalone Axalta. Debt is not subtracted from value; it is charged in the bear case through interest costs. We could not reconcile the reason the customer-incentive outflow remained at $129-130M in both 2024 and 2025; we treated it as recurring. MARGIN-OF-SAFETY PRICE. The margin-of-safety price is about $17, near the bear case and roughly 40% below base, given the leverage, auto-market exposure and merger uncertainty.
