AXIL Brands sells hearing protection and enhancement products (about 96% of fiscal 2026 revenue of $30.8 million) under the AXIL name: Bluetooth earbuds such as the GS Extreme 3.0 and XCOR True Wireless, the X30 LT in-ear device, MX Series earmuffs and passive earplugs. A small Reviv3 Procare hair and skin care line (about 4% of revenue) and a tiny marketing services unit make up the rest. The company has 13 full-time employees and no borrowings. Its fiscal year ends May 31. The hearing protection business was acquired during fiscal 2023, when revenue jumped from $2.3 million to $23.5 million, so we measure earnings from fiscal 2023 onward; earlier years describe a much smaller, loss-making hair care company. What the business earns. We measure owner earnings as cash from operations, minus swings in working capital, minus stock compensation (a real cost), minus the capital spending needed to stand still (purchases of equipment and trademarks or patents). On that basis owner earnings were about $1.88 million in fiscal 2023, $1.77 million in 2024, $0.53 million in 2025 and $2.59 million in 2026. We anchor on the median of those four years, about $1.82 million, or roughly $0.22 per share on the current 8.26 million diluted shares. Fiscal 2026 cash from operations was about zero, but that was a timing effect: receivables rose $3.8 million and inventory rose $1.9 million after large year-end orders from big-box retailers, which the company says were substantially collected after year end. Removing those swings gives the $2.59 million figure. We did not lift the anchor to that level because one strong year, driven by a handful of large orders, is not a track record. Per-share figures for fiscal 2023 and 2024 were divided by larger share counts (17.9 million and 16.2 million) that included preferred stock the company bought back during fiscal 2024, so the dollar figures are the better guide. The trend is mixed. Owner earnings grew about 392% in fiscal 2026, but from a depressed 2025 base (2025 carried $1.1 million of stock compensation and $394 thousand of capital spending). For the base case we assume no growth in year one. Growth this year came from lower-margin wholesale sales to big-box chains, up 137% to $9.9 million in the hearing segment, while direct-to-consumer sales, the higher-margin core, fell 4.3% to $19.7 million. Gross margin slipped from 71.0% to 69.3%, and management expects more pressure as retail grows. Base case ($1.84 per share): owner earnings stay flat at about $1.8 million for ten years, then fade to zero over the following five. We credited no growth. Walmart placement in about 1,250 stores and Marine Corps Exchange availability, expected to begin in July 2026, are announced but unproven; Walmart did not account for more than 10% of fiscal 2026 sales, so these relationships have no multi-year sales record yet. What supports ten years of earnings at this level is a four-year record of positive owner earnings and three active U.S. patents that expire from 2035 through 2038. After the patents lapse we assume the earnings gradually disappear, because we can name no lasting advantage beyond them. The shares are valued on operations alone; roughly $7.4 million of cash held on August 14, 2026 (about $0.90 per share) is not added. Bear case ($0.29 per share): one customer accounted for 23% of revenue and 69% of the hearing segment's receivables, and 79% of hearing segment purchases came from a single supplier. If the big-box orders do not recur and direct-to-consumer sales keep shrinking (they fell 4.3% in fiscal 2026 and overall revenue fell 4.5% in fiscal 2025), owner earnings return to the fiscal 2025 level of about $0.53 million and decline 10% a year for ten years, then end. A new tariff surcharge of at least 10% on imports, disclosed in the filing, adds cost pressure. Bull case ($2.63 per share): the fiscal 2026 result of $2.59 million proves repeatable, so owner earnings hold at that level for ten years and fade over the following five, with no growth added. This is what happens if the Walmart and Marine Corps Exchange placements simply keep the retail volume already shipped in fiscal 2026 in place. Other items. About $910 thousand of tariff duty refunds (paid under emergency-powers tariffs later struck down by the Supreme Court in February 2026) arrived after year end. It is a one-time recovery and is excluded. The company also relies on uncommitted, interest-free advances from an entity managed by its chief executive: $5.9 million advanced and $5.9 million repaid in fiscal 2026, leaving $52 thousand owed at year end. Competitors such as ISOtunes, Walker's, SureFire and Sordin are larger and better resourced. The company depends heavily on two executives. What would make this wrong: if retail and wholesale volume keeps growing at acceptable margins, or if direct-to-consumer sales stabilize, our base case is too low. If the largest customer leaves or the sole supplier fails, the bear case is closer to reality.
