AvePoint sells subscription software that helps organizations manage, secure and govern data held in cloud collaboration and content platforms. Revenue comes from SaaS subscriptions and term licenses, plus a shrinking legacy maintenance line that customers are converting into subscriptions. Revenue reached $419.5 million in 2025, up 27% from $330.5 million in 2024 and up from $271.8 million in 2023. About 39% of 2025 revenue was booked in North America (the United States alone was $162.6 million), 32% in Europe, the Middle East and Africa (Germany $56.1 million) and 29% in Asia Pacific. How we measure earnings. We start from cash generated by operations and remove the swings from customer billings and payables, then subtract stock-based compensation as a real cost (it was $39.3 million in 2025) and the capital spending needed just to stay in place (about $4 million in 2025, including capitalized software). On that basis the company lost money every year from 2020 to 2023 (per-share results between negative $0.39 and negative $0.05, driven mostly by heavy stock compensation, which peaked at $59.5 million in 2021) and turned positive in 2024 at $0.06 per share and 2025 at $0.19 per share ($43.6 million). Cash from operations of $88.9 million in 2024 and $85.3 million in 2025 looks far larger than these figures because it adds back stock compensation and includes large swings in deferred revenue and payables that we remove. Starting point. Two years of positive results is a short record and the two years differ by threefold, so we anchor on the midpoint of 2024 and 2025 expressed on today's roughly 229 million diluted shares, about $0.12 per share ($27.4 million a year). We do not use the earlier loss-making years, when stock compensation was a much larger share of revenue (16% in 2022 against 9% in 2025). We do not lift the starting point for margin improvement that has not yet been shown repeatedly. Growth credited. Actual owner earnings growth in 2025 was very large (from $11.2 million to $43.6 million), but from a tiny base and helped by margins that have only just turned positive, so we do not project that forward. The base case assumes growth of 10% in year 1, easing by one percentage point a year to 1% in year 10. That is below what is already secured: contracted remaining performance obligations were $508.1 million at the end of 2025 against $442.5 million a year earlier, up 15%, and 59% of that will be recognized as revenue in the next twelve months. It is also well below annual revenue growth, which has been at least 17% every year since 2020. We left out new products, share gains and further margin expansion because none is contracted or a repeated demonstrated result. After year 10 we let earnings decline in a straight line to zero over ten more years, because we could not point to evidence in the filings of how long the customer base persists once contracts run off. Base case: $1.71 per share. Owner earnings of about $0.12 per share grow at the easing pace above, then fade to zero. Bear case: $0.35 per share. Owner earnings fall back to the 2024 level of about $0.05 per share on today's share count and do not grow for five years, then fade to zero over ten years. This reflects how thin the profit is relative to $39 million of annual stock compensation, and that the company sells into ecosystems run by much larger vendors, including Microsoft, Google and Amazon Web Services, which are also its marketplaces and partners according to the 10-K. Bull case: $3.62 per share. Owner earnings hold at the 2025 level of $0.19 per share and grow 14.8% in year 1 (matching the growth in contracted obligations), easing to 1% by year 10, stay flat for five more years and then fade to zero over ten years. This assumes the 2025 margin is repeatable, which the record does not yet prove. What would make this wrong. Higher: if stock compensation stays near $39 million while revenue keeps growing 20% or more, owner earnings would rise much faster than in our base case. Lower: any slowdown in renewals or a rise in stock compensation would erase most of the profit, since the whole owner earnings figure is only about 10% of revenue. Margin-of-safety price. The margin-of-safety price is about half the base case, $0.85 per share, given a short profit record, thin margins relative to stock compensation and a wide gap between the cases.
