Business condition attached to the margin of safety Business cash flow before interest running at about $34 million a year or more for a full year (enough to cover the roughly $31 million annual cash interest bill), gross margin holding near 30% or better for four straight quarters, and the first-lien loan's leverage test (which tightens to 4.0x in the fourth quarter of 2028) either on track to be met or amended on acceptable terms.
American Vanguard, through its AMVAC subsidiary, makes and sells crop-protection products (insecticides, herbicides, soil fumigants and seed treatments) plus a smaller non-crop line, mainly in the United States, Mexico, Central America and Brazil. It owns a large portfolio of government-registered products, many bought from larger chemical companies, and it earned positive cash in nine of the last ten years. The question is not whether the business earns money but whether it earns enough to carry the very expensive loan package it took on in March 2026. The shares are a leveraged claim on a business whose cash earnings sit below its annual interest bill. How we measured earnings. We start with cash from operations, strip out swings in working capital (inventory, receivables, customer prepayments), then subtract stock compensation and ordinary capital spending. To value the business before its lenders, we add back cash interest. On that basis the business generated $26 million to $41 million a year from 2016 to 2022, $23 million in 2023, a loss of $40 million in 2024 and $10 million in 2025. Write-downs of $50 million in 2024 and $25 million in 2025 are non-cash and are added back. Because about $133 million of acquired product rights are still on the books and being written off at roughly $12 million a year, we do not hold the earnings stream flat forever; it declines after year 10 as older registrations age. Sales fell from $610 million in 2022 to $515 million in 2025, and gross margin fell from 41% in 2016 to 31% in 2023 and 28.6% in 2025. The level we use: $24 million a year. The ten-year middle, about $30 million, reflects margins the company no longer earns, so we do not use it. 2025's $10 million absorbed about $7 million of one-time transformation spending and a $9.7 million product-liability charge with no counterpart the year before; adding those back gives about $27 million, while 2023 (the one recent year at today's margin structure) gave $23 million. We take $24 million. Growth check: 2025 business cash flow was $10 million; our first-year figure of $24 million is higher, because the transformation and one-time charges above are not expected to recur at 2025's scale, and the first half of 2026 shows gross profit up 3% ($73.1 million versus $70.7 million) on sales down 2%, with the business roughly breaking even before interest versus a small loss a year earlier. The second quarter alone was weaker (sales down 9.7%, gross margin 29.7% versus 31.4%), but one quarter is not enough to move the level. We credit no growth: sales recovery, new products and management's margin targets are not secured. What the company owes. At June 30, 2026 principal outstanding was about $283 million: a $225 million first-lien term loan from lenders led by Centerbridge (SOFR with a 3% floor plus 8.25%, plus a 1% payment-in-kind fee while leverage stays above 5x) and a $60 million second-lien loan (SOFR with a 3% floor plus 2%), both due March 2031. The company reported a weighted-average interest rate of 12.8% in the second quarter, so cash interest runs about $31 million a year. The first-lien loan requires leverage to tighten from 6.7x to 4.0x by the fourth quarter of 2028 and minimum liquidity of $20-45 million, rising to $50 million in January 2028, so we treat the $43.9 million of cash as needed rather than spare. The loan terms also bar dividends. Because the first-lien loan costs roughly double a normal rate for its remaining life, we add about $61 million, the present value of that excess, bringing the debt figure to about $344 million ($12.00 per share). The September 2026 purchase of four US brands from Syngenta (Caparol, Evik, Prime+ and Agri-Flex, about $7 million of annual sales) was made at an undisclosed price, so we have left both its earnings and its cost out; at that size it does not change the picture. Base case. $24 million a year for ten years, then declining 4% a year as older registrations and acquired products age. The business is worth about $305 million ($10.66 per share) against debt of about $344 million: the company appears to owe more than it is worth, by roughly $38 million, or $1.34 per share. At $24 million, the business cannot cover its roughly $31 million of cash interest, let alone reduce debt, and meeting the 4.0x test on $225 million needs about $56 million of EBITDA, more than the company has earned recently. Bear case. Agricultural chemical demand goes through a downturn of the kind the company had in 2014-2016, when sales fell about a quarter from their peak, on top of today's weaker margins, leaving business cash flow near 2025's $9 million. The 2028 leverage test is breached and lenders reprice or take control. We also include the uninsured tail from the DCPA herbicide, whose registration was cancelled in August 2024 and for which the company could not obtain insurance after September 2024. The business is worth about $114 million against debt of about $344 million: it owes more than it is worth by roughly $229 million, or $8.00 per share, so shareholders would most likely be wiped out. Bull case. Gross margin returns to about 31% (the 2023 level and the first quarter of 2026) with 2025's lower overhead held and transformation costs gone: $26 million, then $30 million, then $34 million a year, all within the company's own ten-year record. The business is worth about $421 million against debt of about $344 million, leaving about $78 million, or $2.71 per share, for shareholders. Even here, cash flow only modestly exceeds interest, so debt would come down slowly. Margin of safety price. We are not confident in the earnings level: the last three years ranged from a $40 million loss to a $23 million gain, and the business has not shown it can reliably earn more than its interest bill. The worst plausible outcome is a breach of the 2028 leverage test in a weak farm year, which would hand control to the first-lien lenders and leave little or nothing for shareholders; the structure (secured loans at about 12-13%, no dividends, minimum-cash requirements) makes that outcome hard to survive. If we are wrong about the margin recovery or about recurring product-liability costs, the shares are worth nothing; if we are right about the bull case, they are worth under $3, and shareholders receive nothing during the holding period. The margin-of-safety price applies only once the business proves it can cover its interest from operations, and then is about $1.25, from which reaching roughly $2.70 over three to four years as debt is serviced implies about a 20% yearly return. Until that condition is met, no margin-of-safety price applies. Compared with our analysis two weeks ago, the values are unchanged. The second-quarter filing confirms the 12.8% borrowing cost and shows the second-lien loan has a 3% rate floor, which resolves a point we previously could not reconcile without changing the figures, and the Syngenta brand purchase is too small to move the result. What would make this wrong: sustained business cash flow above about $34 million, or a refinancing near normal rates (worth about $2 per share). We do not rely on management's adjusted earnings targets, which are prepared on a different basis.

Sales geography
United States (Midwest, South, West including California, Northeast) is the core market; international sales in Mexico, Central America (Costa Rica, Panama, Nicaragua, Honduras, Dominican Republic), Ecuador, Brazil, Australia, Spain and the rest of Europe.
Historical growth strategy
Buys mature, off-patent crop-protection products and their government registrations from larger agrochemical companies (Syngenta, Bayer, BASF, DuPont, ADAMA) and squeezes more out of them through its own manufacturing and distribution. It also buys distribution and formulation businesses abroad (Mexico, Central America, Brazil, Australia) to sell its portfolio in new markets, and more recently has added biological and precision-application (SIMPAS/GreenSolutions) products.
Chart analysis
A chartist would see a long, persistent downtrend: the shares peaked in 2022 and have made a series of lower highs and lower lows since, spending most of the past two years below falling 50-day and 200-day moving averages. Rallies have repeatedly failed at the declining resistance line, and sharp drops clustered around company news: the delayed 2024 annual report, the large 2024 and 2025 write-downs, and the March 2026 refinancing. There is no confirmed base or higher low, so the pattern remains bearish, with momentum indicators near oversold levels. A reversal would require a sustained close above the 200-day average on rising volume; failure to hold the recent lows would leave no visible support below.
