Powerfleet sells telematics: tracking devices, software and data services for fleets of trucks, vans, forklifts and other vehicles. Since it closed the acquisition of MiX Telematics on October 1, 2024, and added Fleet Complete, it has grown from a roughly $134 million revenue business (calendar 2023) to $444 million in the year ended March 31, 2026. The company is funded with substantial senior secured term debt, including a $125 million loan from RMB used for the MiX purchase, and its filing states that it has not yet generated enough operating cash flow to fund all of its capital and financing needs. What the business earns. We measure what an owner can take out of the business each year: operating cash flow, less swings in working capital, less stock compensation, less the capital spending needed just to stay in place (devices and capitalized software; we treated spending in proportion to revenue growth as growth spending and excluded it). On that basis the company earned about $5.2 million in fiscal 2026, or $0.04 per share, after losing about $17 million ($0.14 per share) in fiscal 2025 and about $8 million in calendar 2023. Fiscal 2026 operating cash flow before working capital was $47 million, but $7.5 million of stock compensation and roughly $34 million of maintenance capital spending consumed nearly all of it. Receivables rose $21 million during fiscal 2026, which we removed as a timing effect. Because the business changed completely with MiX, only fiscal 2026, the first full year of the combined company, is used as the level; the earlier pre-MiX years describe a much smaller company. This is a single year of evidence, so the level could prove too high or too low. Growth. Owner earnings improved from about minus $0.14 to plus $0.04 per share in the last completed fiscal year, driven by a full year of MiX and the workforce consolidation the company disclosed. We assume no further growth in the base case. Cost synergies and revenue synergies are management aims that are not yet demonstrated, so we credit none. Amortization of acquired customer relationships and technology is large (depreciation and amortization was $60 million in fiscal 2026), and these acquired assets wear out, so all cases let earnings fade over about 15 years rather than continue forever; we did not lower the earnings level for this, to avoid charging it twice. Bear case (about minus $0.50 per share). The heavy debt interest and capital spending mean cash generation slips back toward the fiscal 2025 result of roughly minus $0.14 per share for several years while integration costs continue. On this path the business owes more than it is worth, by roughly $0.50 per share. Base case (about $0.40 per share). Owner earnings stay at the fiscal 2026 level of about $0.04 per share and fade over roughly 15 years as acquired customer relationships run off. Bull case (about $1.20 per share). The workforce consolidation already carried out and the integration of MiX and Fleet Complete lift owner earnings to roughly $0.12 per share, with capital spending holding at fiscal 2026 levels, again fading over about 15 years. What would make this wrong. Owner earnings are thin relative to revenue, so small changes in capital spending, interest cost or customer losses move the result a lot. The MiX acquisition, which closed on October 1, 2024, means fiscal 2025 and 2026 are not comparable to earlier years, and we could not reconcile every non-cash item in fiscal 2025 to net income.
