AUDIOEYE INC (AEYE) stock intrinsic value fair value estimate & owner earnings analysis

Margin of safety$1.30 ComplexityAverage Updated

bear -$1.26 base $2.65 bull $12.73 margin of safety $1.30 market price* $6.66
Business condition attached to the margin of safety A full fiscal year of positive owner earnings: operating cash flow excluding working-capital swings, minus stock-based compensation and capitalized software and equipment spending, above zero, with the largest partner (13% of 2025 revenue) still under contract.
AudioEye sells software and services that make websites, mobile apps and documents usable by people with disabilities and help their owners comply with accessibility law: the Americans with Disabilities Act, Section 508 of the Rehabilitation Act, California's Unruh Act, a federal rule finalized in April 2024 requiring state and local government websites to meet the WCAG 2.1 AA standard, and in Europe the European Accessibility Act, in force since June 2025. It sells through two channels. Partner and Marketplace (web-hosting, content-management and agency partners serving small businesses) produced $22.2 million of 2025 revenue, up 10%, and about 58% of recurring revenue. Enterprise (larger organizations and government) produced $18.1 million, up 21%, helped by new customers in the European Union. Total 2025 revenue was $40.3 million, up 15% (partly from acquisitions), with annual recurring revenue of about $40.0 million, up 9%, across roughly 131,000 customers. Gross margin is about 78%. What the owner actually earns. We measure the cash the business produces for its owners: operating cash flow with working-capital timing swings removed, minus stock-based compensation (a real cost, paid in shares instead of cash), minus the capital spending needed to stand still, including capitalized software development. On that basis AudioEye has not earned money for its owners in any of the last ten years, but the losses have narrowed steadily: about -$4.9 million in 2023, -$3.0 million in 2024 and -$1.7 million in 2025 (-$0.42, -$0.25 and -$0.13 per share). Before stock compensation the business generated about $3.4 million in 2025; stock pay of $5.0 million, 12.5% of revenue, is what keeps owner earnings below zero. In 2025 the company also spent $4.6 million on buybacks and $2.1 million settling employee share awards, largely to hold the share count near 12.4 million, which confirms the stock pay is a genuine cost. Amortization of acquired intangibles ($3.5 million in 2025) is added back because it is a non-cash accounting charge, but the customer relationships bought with Bureau of Internet Accessibility, ADA Site Compliance, Criterion 508 Solutions and Equally AI wear out, so we credit growth well below the 15% reported rate. We treat 2023-2025 as the relevant window, the period since the business became cash-positive before stock pay and began acquiring; its median is -$0.25 per share. The first half of 2026 did not continue the improvement: revenue grew 8.6% to $21.3 million, but owner earnings were about -$1.7 million versus about -$1.4 million a year earlier. We therefore start from roughly -$2 million for 2026 rather than extending 2025's $1.3 million improvement. Base case ($2.65 per share). Revenue grows 7% a year through 2030 and 5% a year through 2036, in line with recurring revenue growth of 9% (which includes acquisitions) and the 8.6% pace of early 2026. Each new dollar of revenue adds 20 cents of owner earnings, below the roughly 37 cents the business achieved from 2023 to 2025, reflecting the 2026 stall. Owner earnings reach breakeven around 2029 and about $4.6 million on roughly $76 million of revenue by 2036. Because accessibility obligations are written into long-standing law and the product is sold as recurring subscriptions, we hold that level for another ten years, then fade it to zero by the thirtieth year: the product has to keep winning against competing tools, and nothing we can evidence secures its position beyond that. Bull case ($12.73). Enterprise demand driven by the European Accessibility Act and the government-website rule keeps revenue growing 10% a year through 2031 and 7% through 2036, and the business repeats its 2023-2025 record of converting about 35 cents of each new revenue dollar into owner earnings. Owner earnings turn positive in 2028 and reach about $17 million on roughly $98 million of revenue by 2036, held for fifteen years before fading. Bear case (-$1.26). The largest customer, a partner relationship spanning multiple contracts that produced 13% of 2025 revenue (15% in 2024), is lost around 2027. At a 78% gross margin that removes about $4 million of annual owner earnings. Management cuts costs, as it did in 2022-2023, and reaches breakeven by 2030 but never builds a profit. Losses of about $9 million over three years use up the $8.7 million of cash held at mid-2026, while the $16.4 million bank term loan (floating at SOFR plus 3.25%, amortizing from April 2026, due March 2030) remains. In this case the company owes more than it is worth, by roughly $16 million, or about $1.26 per share. What would make this wrong. The value rests almost entirely on stock compensation and other costs growing more slowly than revenue so that owner earnings turn positive. If stock pay keeps rising in step with revenue, the base case falls toward zero. Faster enterprise adoption in Europe or among governments would move results toward the bull case. Because the company has never produced positive owner earnings, depends on one partner for 13% of revenue and carries floating-rate debt, the margin-of-safety price of about $1.30 per share applies only after a full year of positive owner earnings. The company does not disclose revenue by geography.
