Advantage Solutions is an outsourced sales and marketing services company. It works for consumer-goods manufacturers and retailers through three segments: Branded Services (sales, merchandising and omni-commerce support for manufacturers, about a third of revenue), Experiential Services (in-store demonstrations and events) and Retailer Services. It earns commissions, fees for service and cost-plus fees, and serves clients in more than 100,000 retail locations. Revenue has stayed between $3.2 billion and $3.9 billion for seven years and was $3.54 billion in 2025. It is a low-margin, heavily indebted business: long-term debt on the balance sheet was about $1.54 billion at mid-2026, against about 13 million shares outstanding. Share count. In January 2026 the company received a Nasdaq notice that its stock had traded below $1.00, and its board approved a reverse stock split. Share counts in the 2026 quarterly data are about one twenty-fifth of earlier counts. All per-share figures here are on the new, post-split basis. How we measure earnings. We start from cash generated by operations, remove the swings in receivables, payables, accruals and prepaid items, subtract stock-based compensation, and subtract the capital spending needed to stay in business (equipment plus capitalized software; only a small growth portion, tied to revenue increases, is excluded). Interest is already deducted because it is paid in cash. On this basis earnings per post-split share were $14.02 (2019), $10.24 (2020), $20.97 (2021), $7.20 (2022), -$0.31 (2023), -$0.30 (2024) and $2.90 (2025). Non-cash charges, including $204 million of goodwill impairments in 2025, $275 million in 2024 and about $1.57 billion in 2022, are added back because they are past acquisition costs, not ongoing cash costs. But that repeated pattern of writing down acquisitions, with Branded Services losing clients as customers cut costs, is why we treat the business as slowly eroding and why the bear case is so low. Which years count. We use 2022 to 2025, whose median is $1.30 per share. 2019 to 2021 are excluded because they were earned with near-zero interest rates and before the divestitures and deconsolidations of 2023 to 2025; interest cost is now much higher. Growth check: 2025 earnings rose from -$0.30 to $2.90, but we do not carry that rebound forward as growth, and the base case assumes none. In the first half of 2026 revenue rose 3.7% to $1.76 billion and operating cash flow was $17 million versus negative $48 million a year earlier. That is encouraging, but it is one half-year and is not credited. Debt and interest. At the end of 2025 the company had a $1.09 billion term loan due October 2027 and $595 million of 6.5% notes due 2028. In early 2026 it signed a support agreement with holders of 54.3% of the term loans and launched an exchange of the 6.5% notes into 9.0% notes due 2030 plus cash. Mid-2026 data show long-term debt down from $1.67 billion to $1.54 billion (about $138 million repaid in the first half) and second-quarter interest expense of $40.0 million versus $35.8 million a year earlier. Higher interest is a real, disclosed cost. It is already reflected in a base level below the 2025 result, and it is not deducted a second time. The filings available to us do not let us confirm the final terms of the term-loan refinancing. Base case: $12.63 per share. Earnings stay at $1.30 per share for 15 years and then stop. The evidence for persistence is seven straight years of positive operating cash flow ($62 million to $346 million) and a client base of manufacturers and retailers served in over 100,000 locations. We credit no growth: revenue fell about 9% from 2023 to 2025, and share gains or new services are not something the business has demonstrated. The 15-year limit reflects that nothing we can name guarantees the earnings longer. Bull case: $21.37 per share. Earnings are $2.20 per share for 15 years. That is the 2025 result ($2.90) less roughly $0.70 a share of extra annual interest implied by the first-half 2026 run-rate. It requires only that the business keep doing what it did in 2025, with lower debt from the 2026 repayments offsetting part of the higher interest; it assumes no revenue growth. Bear case: $0. Earnings return to the 2023 and 2024 pattern (about -$0.30 per share) because higher interest on the refinanced debt and continued revenue declines in Branded Services and Retailer Services (client losses like those behind the 2024 impairment) absorb all the cash the business generates. With about $1.5 billion of debt ranking ahead of shareholders, the shares would be worth essentially nothing in that case. Stress test. The central assumption is that the company can keep converting revenue to cash after paying higher interest. Against that, interest expense rose about 12% year over year in the second quarter of 2026, and both 2023 and 2024 produced negative earnings. We kept the base level at the four-year median, which already includes those two negative years, rather than the better 2025 result. What would make this wrong: further client losses in Branded Services, a refinancing on worse terms than we can see, or capitalized software spending (about $46 million to $47 million a year recently) continuing without delivering savings. Margin-of-safety price: $4.50, about 36% of the base case. The company carries heavy leverage, a shrinking revenue base, a bear case of zero and a small post-split market value, so a very large margin of safety is required. Not reconciled: in January 2026 the company sold its 49.6% interest in an equity-method investee, and 2025 results include recoveries related to the Take 5 matter. We did not adjust for either. The company also notes it may record further impairments.
