Aclarion, Inc. (ACON) stock intrinsic value fair value estimate & owner earnings analysis

Margin of safety$0.00 ComplexityAverage Updated
Business condition attached to the margin of safety NOCISCAN revenue large enough to cover Aclarion's costs, so that the business produces positive cash flow after stock compensation and equipment and patent spending, following payer coverage decisions for its Category III billing codes.
Aclarion (formerly Nocimed) sells NOCISCAN, a software service that uses the magnetic resonance spectroscopy capability of existing MRI scanners to identify which spinal discs are painful, to help surgeons plan treatment for low back pain. Revenue is tiny and the business consumes cash rather than producing it. What the numbers show. Revenue was $75,730 in 2025, up 65.6% from $45,724 in 2024, but revenue was $60,444 in 2022 and $75,404 in 2023, so there is no sustained growth record. Net loss was $7.23 million in 2025 and $6.99 million in 2024. Operating cash flow was negative $7.16 million in 2025 and negative $5.27 million in 2024. After removing working-capital movements, stock compensation and equipment and patent spending, our owner earnings were about negative $6.97 million in 2025 and negative $5.32 million in 2024. That loss deepened by about 31% in 2025. In the first half of 2026 operating cash flow was negative $5.30 million, against negative $4.38 million in the first half of 2025, so the burn is not shrinking. How the company has funded itself. Cash was $12.0 million at the end of 2025 and $16.3 million at June 30, 2026, after further share sales. In 2025 it raised $14.55 million in a public offering and $5.70 million in registered direct offerings, before issuance costs. Existing shareholders have been heavily diluted: the company reversed its share count in a 1-for-16 split in January 2024, then 1-for-335 in January 2025 and 1-for-27 in March 2025. Because of these splits, per-share figures before 2025 are not comparable with later ones, so we stored owner earnings per share only for 2024 and 2025. Management says cash should fund current operating plans into the first quarter of 2028. The annual report contains no going-concern warning. Nasdaq listing deficiencies in 2022 to 2024 were cured in early 2025 and the company describes all of them as resolved, though continued compliance is not assured. Bear, base and bull cases. All three are $0 per share. Value in this method comes only from earnings the business can be shown to produce, and Aclarion has never produced positive owner earnings. Its growth plan depends on insurers agreeing to cover its Category III billing codes and on the codes later converting to permanent Category I codes. The company itself states there is no assurance of either. Neither has happened, so we credit no growth and no profit. The company's cash is not counted as value, because the money is being spent each year at a rate of roughly $7 million or more and has repeatedly been replaced by selling new shares that dilute existing holders. In the bear case the cash is used up and shares are diluted again; in the base case the same happens with a small revenue gain that does not approach covering costs. What would make this wrong. If insurers begin covering NOCISCAN and revenue grows by orders of magnitude while costs stay roughly flat, the business could be worth substantial value. We do not assign that a value today because nothing signed or in place produces it. The main risk to our $0 view is therefore an upside one, which is why the margin-of-safety price is set at $0 rather than at a low positive figure: there is no evidenced earning power to value yet.
