Associated Capital Group is a small investment manager with a very large balance sheet. Its advisory business (merger arbitrage and long/short value funds, about $1.25 billion of client assets at the end of 2024) brought in only $13.2 million of revenue in 2024 against $31.9 million of expenses, an operating loss of $18.8 million. The real substance is the roughly $890 million of tangible equity, almost all of it financial assets: about $368 million of cash and Treasury bills, $199 million of stocks, $166 million in affiliated funds, and $140 million in partnerships. There is no meaningful debt. The company is controlled by its Executive Chair's private holding company, GGCP, which holds about 97% of the Class B shares, and the Executive Chair is paid 10% of pre-tax profit (before that payment and income taxes) as a management fee. How we valued it. Reported operating cash flow at this company is dominated by buying and selling securities, so it swings from a $70 million outflow (2022) to a $238 million inflow (2021) with no relation to earning power. We therefore removed all portfolio purchases, sales and partnership flows, along with normal working-capital timing, and rebuilt a cleaner earnings measure. It is small and uneven, between about -$0.87 and +$0.24 per share across 2015-2024, and was $0.20 in 2024 versus -$0.07 in 2023. Because that measure charges taxes on investment gains while leaving the gains out, it is not a good guide to value here. Instead we count the portfolio at its balance-sheet value (cash and Treasury bills are worth face value, and we credit no gains from markets), and separately subtract the present value of what it costs to keep the operating business running, discounted at 6%. We do not lift value for expected market gains and we do not deduct debt, since there is none of note. The measurement uses the most recent audited balance sheet (December 31, 2024); by June 30, 2025 total equity had risen to $914.7 million, and we do not credit that increase. Base case: $31.38 per share. The advisory business keeps losing money. We use operating costs net of revenue, before the Executive Chair's fee, of $11.5 million a year (the middle of 2022-2024, since these costs have risen each year), $3.4 million of shareholder-designated charitable contributions (the middle of 2019-2024), and the Executive Chair's 10% profit fee, about $2.2 million, sized on the 2016-2024 average of $37.2 million a year in investment gains plus interest and dividends. That is about $17.1 million a year before tax and $13.5 million after tax at the 21% federal rate, worth about $226 million today, which is subtracted from $889 million of tangible equity and divided by about 21.15 million shares. We credit no growth: assets under management fell 21.6% in 2024 (net investor outflows of $363 million), so growth is not in evidence. Bear case: $17.65 per share. Two things go wrong, both already visible. First, the operating loss widens: in the first half of 2025 revenue was $4.3 million versus $5.6 million a year earlier and the operating loss was $13.3 million versus $8.6 million, and we carry the first-half pace ($26.5 million a year, plus charity) forever. Second, the stocks, affiliated funds and partnerships ($504 million) lose $121.7 million, equal to the two worst years since 2016 combined (a $65.2 million net investment loss in 2018 and $56.5 million in 2022), with no recovery. Bull case: $32.79 per share. Operating costs net of revenue, before the fee, return to about $9.4 million (the 2020 level) and charity to $3.0 million, with the fee sized the same way. The upside is modest because the main source of upside, a rising market for the portfolio, is not something we can attribute to the business and is not counted. What could make this wrong. If the operating business is wound down or its costs are cut sharply, the deduction of roughly $226 million would shrink and value would move closer to the $42 of tangible equity per share. If markets fall more than in 2018 and 2022, or the $140 million of partnership interests cannot be sold at reported value, or costs keep rising, value falls toward the bear case. The Executive Chair's control means minority holders have little say over how the cash is used. Some of our cost figures rest on judgement: the Executive Chair's profit fee depends on results we cannot forecast, so we sized it on the 2016-2024 average.
