ACCESS Newswire, formerly Issuer Direct, is a small Raleigh, North Carolina company that sells press-release distribution, media databases, investor-relations websites and webcasting to public companies, agencies and small businesses. It is now a single-segment business with $22.6 million of 2025 revenue, a 77% gross margin, 974 subscription customers carrying about $12.2 million of annual recurring revenue at year end, and about 3.86 million diluted shares. It has been reshaped twice in four years. In November 2022 it paid about $44 million in cash, a $22 million bank note and stock for Newswire.com, then wrote $14.2 million of the acquired trademarks off in 2024. In February 2025 it sold its profitable Compliance business (disclosure software and stock transfer) for $12.5 million, using the closing cash to repay bank debt. What the business earns. The ten-year cash record looks better than the company now is, because almost all of it came from the Compliance segment that was sold. We measure owner earnings as operating cash flow with working-capital swings removed, less stock compensation, less the capital spending needed to stand still (fixed assets plus capitalized software). We also deduct the provision for customer accounts that will never be collected. That provision has run $1.3 million a year since 2024, and once working-capital swings are stripped out, adding it back would count bad debts as earnings. On this basis, the combined company earned $0.38 to $1.08 a share a year from 2016 through 2024. The retained business is much weaker. Its continuing operations used $0.7 million of operating cash in 2023 and produced only $0.4 million in 2024. In 2025 it produced about $0.55 million after removing roughly $1.9 million of one-time tax on the disposal gain. The first half of 2026 annualizes to about $0.25 million after interest, or about $0.4 million before interest, and revenue in that half was $10.9 million against $11.1 million a year earlier. Because the business that remains has only one clean post-sale year and one half-year, we do not take a median of the older years. We anchor on about $0.6 million a year of cash generated before lenders are paid. That is below the normalized 2025 figure and above the 2026 run rate, because the 2026 half-year carried elevated bad-debt charges and spending on the subscription relaunch. This is the least certain number in the analysis. What we credit and what we do not. No growth is credited in any case. The shift to subscriptions is real (net revenue retention above 120% is disclosed), but total revenue has fallen three years running: from $24.5 million on a continuing basis in 2023, to $23.1 million in 2024, $22.6 million in 2025, and lower again in the first half of 2026. Webcasting and legacy pay-per-release plans keep shrinking. Margin recovery and international expansion are management goals, not secured outcomes. The $9.5 million of purchased intangibles amortizes away by about 2029. That amortization is added back in owner earnings, so the decay is carried in the cases. Paid wire distribution faces free and AI-assisted alternatives, and nothing in the filings shows a mechanism that keeps today's earning power intact for decades. Every case therefore fades the business to nothing by the end of the story. Base case: about $0.6 million a year before interest, drifting down 2% a year for ten years as legacy lines erode, then fading to zero over the following decade. The business is worth about $5.1 million. Against $2.1 million of bank debt and about $2.0 million of cash beyond operating needs, it owes a net $0.2 million, leaving about $4.9 million, or $1.28 a share. The term loan is fixed at 6.2% and amortizes $72,464 a month, so it neither raises nor lowers the debt cost materially. Bear case: corporate communications budgets are discretionary, and this industry has cycled with capital-markets activity. In the 2022 to 2023 IPO and financing drought the company's comparable revenue stalled, and in 2008 to 2009 press-release and IR spending fell sharply. We model a similar episode: revenue down about 15% for two years. At a 77% gross margin and with costs that are largely fixed, the business burns about $1 million a year for two years and then recovers only to about $0.3 million a year, declining thereafter. The cash on hand, the $5 million Pinnacle Bank revolver and the shrinking term loan let it survive this, but the burn consumes the cash cushion. The business is worth about negative $0.6 million, and after net debt of $0.2 million, shareholders' value is about negative $0.7 million, or negative $0.19 a share. In this case the company owes slightly more than it is worth, by roughly $0.7 million. Bull case: the subscription relaunch works as management describes, with cost savings already disclosed in 2025 restoring operating leverage. Pre-interest owner earnings hold at about $1.0 million a year for ten years, close to the best level the retained business has shown, before fading. The business is worth about $9.4 million, and less net debt of $0.2 million that is about $9.2 million, or $2.39 a share. Other items. Book value of about $7.60 a share is not a floor, because $19.0 million of goodwill and $9.5 million of intangibles leave tangible equity slightly negative. The buyer of the Compliance business has asserted a $549,000 indemnity claim against the $500,000 holdback the company still hopes to collect. We assume none of the holdback is received. Customer prepayments of about $5.1 million make current liabilities look larger than current assets, but these convert to revenue rather than cash out. Margin-of-safety price. We have low confidence in the earning level. The retained business has produced positive owner earnings in only one clean year, and the most recent half-year runs below it. The plausible worst outcome is a downturn in corporate communications spending while paid wire distribution keeps losing ground to free channels. The structure would survive this, since debt is small and amortizing and customers are many and small, but owners would be left with a business that consumes its cash. The things we are most likely to be wrong about are the earning level, which could be half our estimate, and how fast the legacy lines erode. If both go the wrong way, the shares are worth well under $0.50. Meanwhile the business pays nothing: there is no dividend, and buybacks are token. The margin-of-safety price is $0.60 a share, which values at about $2.3 million a company holding about $3 million of cash against $2.1 million of debt and selling $22 million of services a year. That price is roughly covered by the net cash plus one year of the base-case earning power. Only at that level does the 20% annual target appear supported even if earnings settle near the 2026 run rate. Our previous figures were built on a different basis and are not comparable; since then, the 2026 half-year has confirmed that revenue is still shrinking and that the retained business earns less than the normalized 2025 figure suggested.

Sales geography
United States (about 91% of revenue, spread across Northeast, South, Midwest and West), Canada, United Kingdom and other international markets (about 9% combined), all sold and serviced from North America
Historical growth strategy
Grew mainly by acquisition rather than by compounding its own cash: a string of small tuck-ins (Filing Services Canada, Interwest Transfer, Visual Webcasting) through 2019, then the transformative roughly $44 million debt-funded purchase of Newswire.com in November 2022. In February 2025 it reversed course, selling the Compliance business for $12.5 million to repay debt, and now seeks organic growth by converting press-release customers from pay-per-release to annual subscriptions on the rebranded ACCESS Newswire platform, plus modest international reseller expansion.
Chart analysis
A chartist would see a long, grinding downtrend. The shares peaked in the high-$30s to $40s in 2021 when the stock traded as a pandemic-era webcasting beneficiary, collapsed after the debt-funded Newswire.com deal and the 2024 trademark write-down, and have kept making lower highs since. The 52-week range of roughly $4.70 to $11.34, with the price sitting at about $4.85 in early October 2026, puts the stock pressing on its lows with no confirmed base. A technician would want to see the stock hold the $4.50 to $5.00 area and reclaim its 200-day moving average before calling a bottom.
